【摘要】:全球的私募股权投资基金行业正在进入一个新的发展阶段,已经成为全球金融市场上举足轻重的力量。近几年来,中国的私募股权投资基金行业从无到有,从初露端倪到蓬勃发展,成为我国金融市场上颇具生命力的重要组成部分,也成为当今金融创新的热点问题。但是,私募股权投资基金在我国起步较晚,发展仍处于初级阶段,以致于在筹集资金、项目选择、后续管理以及退出获利等实际运作过程存在现实问题和发展障碍,极大制约着我国私募股权投资基金的发展。作为一种创造性极强的经济活动,其构思、谈判、签约乃至退出的全部过程中,需要经过许多环节,几乎每个环节都有失败的可能,全过程蕴含了巨大的风险。因此,拓宽企业融资渠道,规避私募股权投资基金模式下的风险,实现投资者和融资企业的双赢,加强私募股权模式下房地产企业投资风险防范的研究具有十分重要的意义。本文关于私募股权投资基金对房地产企业的投资风险防范,主要从以下几个方面介绍:首先是论述私募股权投资基金的概念、类型和运作流程,其次以我国私募股权投资基金的发展和投资房地产面临的投资风险进行研究。通过回顾外资私募在我国房地产企业的发展现状和我国本土私募在房地产企业的发展现状,得出私募股权投资房地产企业的特点。本文将重点研究私募股权投资基金下的房地产企业投资风险来源和防范措施,将与案例相结合的方式,运用风险管理的程序与方法,从投资过程和退出过程两个角度分析私募股权投资房地产企业存在的风险,包括来源于外部环境的投资风险、来源于房地产企业本身的投资风险与房地产项目的投资风险,以及系统风险和运营风险等退出过程中的投资风险,系统地分析私募股权投资房地产企业中的风险构成和影响,在对风险进行识别的基础上,针对私募股权投资房地产企业的投资风险的特点和规律,提出针对投资风险的防范手段,以减少并防范私募股权的投资风险,促进私募股权投资基金的健康发展。
[Abstract]:The global private equity fund industry is entering a new stage of development, has become a significant force in the global financial market. In recent years, China's private equity investment fund industry from scratch. From the beginning to the vigorous development, it has become an important part of the financial market in our country, but also become a hot issue of financial innovation. However, the private equity investment fund started late in our country. Development is still at an early stage, so that there are real problems and obstacles to development in the actual operational processes of raising funds, project selection, follow-up management and profit-taking. As a kind of highly creative economic activity, the whole process of conception, negotiation, signing and even withdrawal of private equity investment funds in China needs to go through many links. Almost every link has the possibility of failure, the whole process contains a huge risk. Therefore, broaden the financing channels of enterprises, avoid the risk under the private equity investment fund model, and realize the win-win situation between investors and financing enterprises. It is of great significance to strengthen the research on the investment risk prevention of real estate enterprises under the private equity model. Mainly from the following aspects: the first is to discuss the concept of private equity investment funds, types and operation process. Secondly, the development of Chinese private equity investment fund and the investment risk in real estate are studied. The development of foreign private equity in real estate enterprises and the development of local private equity in real estate enterprises are reviewed. Show status. The characteristics of private equity investment in real estate enterprises. This paper will focus on the private equity investment fund under the real estate investment risk sources and preventive measures, will be combined with the way of cases. Using the procedures and methods of risk management, this paper analyzes the risks of private equity investment in real estate enterprises from the two angles of investment process and exit process, including the investment risk from the external environment. It comes from the investment risk of the real estate enterprise and the investment risk of the real estate project, as well as the investment risk in the exit process such as the system risk and the operation risk. Systematic analysis of private equity investment in real estate enterprises in the risk composition and impact, on the basis of risk identification, in view of private equity investment in real estate enterprises investment risk characteristics and rules. In order to reduce and prevent the investment risk of private equity and promote the healthy development of private equity investment fund, the paper puts forward the precautionary measures against investment risk.
