资产证券化中信用增级法律问题研究

【摘要】：当前我国处在经济发展的新常态,资产证券化这种融资方式以其融资优势将对国内经济的发展起到很大的作用。作为一种结构性融资,资产证券化的结构设计比较复杂,信用增级作为资产证券化中的重要一环,起到了对一个产品进行"包装" "美化"升级的作用,直接影响到资产证券化产品最终的成败与否。目前我国的信用增级制度虽然已越发成熟,增级措施也愈加丰富,但依旧存在一些法律上的障碍与自身的不足。因此,本文将重点对资产证券化中的信用增级这一环节进行研究,归纳信用增级的方式,分析并找出当前法律环境中阻碍其发展的障碍,最后提出相应的解决对策,希望能对我国资产证券化信用增级制度的完善有所帮助。论文共分为四个部分。第一部分,主要分析了资产证券化信用增级的法律依据及其主要的增级模式,本人分别就各种模式的优缺点进行了概括,以增加对信用增级的把握。第二部分,以案例和表格的形式归纳了实践中信用增级的主要方式,并重点分析了目前法律环境中信用增级面临的主要问题,包括法律上的障碍、信用增级制度本身的不足等。第三部分,我主要针对前述信用增级存在的法律障碍提出了法律上的破解对策,包括政府担保信用增级措施的准许、消除企业破产法上的障碍等。第四部分,针对前述信用增级制度和评级制度的不足分别提出了完善的对策,包括丰富增级形式、规范评级制度等。
[Abstract]:At present, our country is in the new normal of economic development, asset securitization, with its financing advantages, will play a great role in the development of domestic economy. As a kind of structural financing, the structure design of asset securitization is quite complex. As an important part of asset securitization, credit enhancement plays the role of "packaging" and "beautifying" a product. The credit enhancement system of our country has become more mature and more abundant, but there are still some legal obstacles and their own shortcomings. This paper will focus on the study of credit enhancement in asset securitization, sum up the ways of credit enhancement, analyze and find out the obstacles to its development in the current legal environment, and finally put forward the corresponding countermeasures. The paper is divided into four parts. The first part mainly analyzes the legal basis and the main upgrade mode of the credit enhancement of asset securitization. I have summarized the advantages and disadvantages of various models in order to increase the grasp of credit upgrading. The second part summarizes the main ways of credit enhancement in practice in the form of cases and tables. The main problems faced by credit enhancement in the current legal environment are analyzed, including the legal obstacles, the shortcomings of the credit enhancement system itself and so on. I mainly put forward legal countermeasures against the legal obstacles to credit enhancement mentioned above, including the approval of government guarantee credit upgrading measures, the elimination of obstacles in enterprise bankruptcy law, and so on. Part 4th, In view of the shortcomings of the credit enhancement system and the rating system mentioned above, the author puts forward some perfect countermeasures, including enriching the increasing form, standardizing the rating system, and so on.
