顺丰速运借壳上市案例分析

【摘要】：20世纪90年代初,我国股市随着证交所的成立,开始慢慢发酵。上市方式最常用的的有两种,分别是IPO和借壳上市。通过借壳上市这种方式进行上市,不仅可以使市场资源能够得到合理并且优化的配置,而且有利于加快调整市场经济结构,帮助民营企业解决在其发展过程遇到的一系列问题。借壳上市作为一种比较便捷的上市方式,尽管有很多的优点,但是也存在着很大的不确定性。最大一个不确定性就是借壳的失败与借壳成功之后面临的债务问题等。因此,如何成功的借壳上市,成功获得其发展所需的资金,同时能够在后续中获得良好稳定的发展,是所有想要借壳上市的企业所面临的一个重要问题。本文的研究对象是顺丰速运借壳上市这一案例,描述了顺丰借壳上市案例的基本情况,全部过程,以及对顺丰速运借壳上市的评价。最后通过对顺丰速运借壳上市的分析,给出了一些关于借壳上市的建议。本文的分析主要分为五个部分进行介绍。第一部分,主要是论文的引入部分,通过介绍整篇文章的写作背景来讲述本文立意的来源。其次介绍了本文的研究内容以及得出结论所用的研究方法。最后讲述的是本篇论文的创新之处与不足之处。第二部分,介绍了借壳上市的有关理论概述,我国在沪深股中借壳上市的发展历史,同时描述了我国现阶段借壳上市的发展现状等。第三部分主要介绍了顺丰速运借壳上市的案例。从两个方面进行了介绍。首先介绍了此次借壳上市案例发生的相关方,包括壳公司鼎泰新材的情况与借壳方顺丰速运的情况。其次介绍了此次借壳上市的完整过程。第四部分介绍了此次借壳上市的案例分析与评价。从四个方面进行。首先介绍了顺丰速运借壳上市的动因,其次介绍了顺丰速运借壳上市的有利之处,再次介绍了顺丰速运借壳上市的经验分析,最后介绍了此次借壳上市存在的问题。第五部分介绍了顺丰速运此次借壳上市给其他借壳上市企业所带来的启示。主要从三个方面来介绍得到的启示。希望能够给企业带来真正的启示,能够更好的利用资本市场的资金,来促进企业自身的发展,同时能够促进经济的发展。
[Abstract]:In the early 1990 s, the stock market of our country began to ferment slowly with the establishment of stock exchange. There are two most commonly used modes of listing, IPO and backdoor listing. Through the way of backdoor listing, not only can the market resources be allocated reasonably and optimally, but also it is helpful to accelerate the adjustment of the market economic structure and help the private enterprises solve a series of problems encountered in the course of their development. As a convenient way of listing, backdoor listing has many advantages, but there is also a lot of uncertainty. The biggest uncertainty is the failure of the shell and the debt problem after the success of the shell. Therefore, it is an important problem for all the enterprises that want to be listed through backdoor to successfully obtain the funds needed for their development and obtain a good and stable development in the follow-up. The research object of this paper is the case of Shunfeng express shipping backdoor listing, describes the basic situation of Shunfeng backdoor listing case, the whole process, and the evaluation of Shunfeng express shipping backdoor listing. Finally, through the analysis of Shunfeng express shipping backdoor listing, some suggestions on backdoor listing are given. The analysis of this paper is mainly divided into five parts to introduce. The first part, the introduction part of the paper, introduces the background of the whole article to explain the origin of the meaning of this paper. Secondly, this paper introduces the research content and the research methods used to draw conclusions. The last part is about the innovation and inadequacies of this paper. The second part introduces the theory of backdoor listing, the history of China's backdoor listing in Shanghai and Shenzhen, and describes the present situation of backdoor listing in China. The third part mainly introduces the case of Shunfeng express shipping backdoor listing. Two aspects are introduced. Firstly, the paper introduces the related parties, including the case of shell company Dingtai new material and the case of Shunfeng of shell company. Secondly, it introduces the whole process of the backdoor listing. The fourth part introduces the case analysis and evaluation of the backdoor listing. From four aspects. This paper first introduces the motivation of Shunfeng express shipping backdoor listing, then introduces the advantages of Shunfeng express shipping shell listing, then introduces the experience analysis of Shunfeng express shipping backdoor listing, and finally introduces the problems existing in this backdoor listing. The fifth part introduces the inspiration of Shunfeng Express to other backdoor listed enterprises. Mainly from three aspects to introduce the inspiration. It is hoped that it can bring real enlightenment to the enterprises and make better use of the capital market funds to promote the development of the enterprises themselves and the development of the economy at the same time.
