企业家社会网络、控制权配置与家族企业成长

【摘要】:家族企业成长是家族企业研究的一个热点问题。现有研究表明企业家社会网络对家族企业成长具有重要影响。企业家社会网络的作用发挥要基于企业的公司治理结构,而控制权如何有效配置是现代公司治理的核心问题。传统的公司治理理论在分析控制权配置对企业成长影响问题有其缺陷,不完全适合东方管理情境的中国家族企业。近年来,已有学者关注从社会网络视角来研究企业控制权配置问题。本文将研究问题聚焦于企业家社会网络、控制权配置与家族企业成长之间的影响关系,试图通过探索三者之间的内在影响机理,完善当前家族企业成长理论、公司治理理论,为我国家族企业的健康发展提供相应的管理启示。针对本文的研究目标,本文构建起“企业家社会网络—控制权配置—家族企业成长”的理论分析框架,主要从以下四个方面进行研究:第一,社会网络视角下企业家社会网络有哪些特征维度组成?第二,企业家社会网络是否对家族企业成长产生显著影响作用?第三,控制权配置是否对家族企业成长产生显著影响作用?第四,控制权配置是否在企业家社会网络与家族企业成长关系中起到中介作用?为了解决上述问题,本文通过以下方法进行研究:(1)文献梳理与评述。针对本文的研究对象,通过对社会网络理论、控制权理论、企业成长理论等相关领域经典文献进行了梳理与评述,掌握本文研究对象的最新研究进展,当前研究的主要争议,存在的局限之处。在此过程中,有针对性的关注企业家社会网络与家族企业成长的关系研究、控制权与家族企业成长的关系研究、企业家社会网络与控制权的关系研究这三大变量之间的研究进展,为本文的理论模型的构建和实证研究假设的提出提供理论支撑。(2)探索性案例研究。基于对典型家族企业——雷士照明控制权争夺案例的研究,深入分析了企业家社会网络对家族企业成长的影响机制及控制权配置在其中的发挥的作用。案例研究得到了本文三大变量之间的初步关系命题,主要包括:第一,企业家的社会网络对家族企业的成长有重要的积极影响;第二,家族企业的控制权配置能够影响家族企业的成长;第三,在股权制衡情况下,企业家社会网络将会影响企业的控制权配置。(3)理论推演与模型构建。在文献梳理与评述的基础上,结合探索性案例的相关研究结论,对本文三大变量之间的关系进行理论推演,在此基础上构建了企业家社会网络、控制权配置与家族企业成长的理论分析模型,强调了控制权配置在二者关系中的中介作用的可能性。在此基础上,本研究提出了二十个研究假设,以供实证检验。(4)实证检验。本文采用问卷调查方法进行实证检验,首先对本研究所涉及的研究变量——企业家社会网络、控制权配置与家族企业成长等进行了操作化衡量指标设计;然后,系统设计研究所需调查问卷,选择我国家族企业企业家进行问卷调查,共回收165份有效问卷;最后,运用统计方法对回收问卷数据进行描述性统计分析、信度与效度分析、相关性分析、多元回归分析等实证过程,得到实证结果,并对研究假设进行验证。本文通过对企业家社会网络、控制权配置与家族企业成长之间影响关系的系统研究,得到以下重要结论:首先,企业家社会网络包含网络规模、网络强度与网络异质三大结构特征维度。其次,检验了企业家社会网络对家族企业成长的影响关系。实证结果表明,企业家社会网络是家族企业成长重要影响因素,企业家社会网络的网络规模、网络强度和网络异质性均能显著影响家族企业的成长。再次,检验了控制权配置对家族企业成长的影响关系。实证结果表明,控制权配置是家族企业成长的重要影响因素,股东大会控制、董事会控制与经理层控制均能显著影响家族企业的成长。最后,检验了控制权配置对企业家社会网络与家族企业成长之间关系的中介作用。实证结果表明,控制权配置能够对企业家社会网络与家族企业成长之间关系发挥中介作用。股东大会控制对企业家社会网络强度与家族企业成长之间关系起中介作用,董事会控制对企业家社会网络强度、网络异质性与家族企业成长之间关系起中介作用,经理层控制对企业家社会网络强度、网络异质性与家族企业成长之间关系起中介作用。
[Abstract]:The growth of family business is a hot issue in the study of family business. The existing research shows that the social network of entrepreneurs has an important impact on the growth of the family business. The role of the social network of entrepreneurs should be based on the corporate governance structure of the enterprise, and the effective allocation of the control right is the core problem of the modern corporate governance. The theory of theory has its defects in the analysis of the impact of control allocation on the growth of enterprises, which is not fully suitable for the Chinese family enterprises in the Orient management situation. In recent years, some scholars have paid attention to the study of the allocation of corporate control from the perspective of social networks. This paper focuses on the research issues in the social network of the enterprise, the allocation of control rights and the formation of family enterprises. The relationship between the long and the influence is trying to improve the current family enterprise growth theory and the corporate governance theory to provide the corresponding management inspiration for the healthy development of family enterprises in China by exploring the internal influence mechanism between the three. The theoretical analysis framework of growth is mainly studied in the following four aspects: first, what are the characteristic dimensions of the social network of entrepreneurs from the perspective of social network? Second, does the social network of entrepreneurs have a significant impact on the growth of the family business? Third, whether the allocation of control rights has a significant impact on the growth of the family business. Fourth, does the control right allocation play an intermediary role in the relationship between the entrepreneurial social network and the family business growth? In order to solve the above problems, this paper studies the following methods: (1) literature review and review. In this paper, the research object of this paper, through the social network theory, the control theory, the enterprise growth theory and other related fields. The classic literature has been combed and commented, the latest research progress of the object of this study, the main controversy of the current research, and the limitations of the existing research. In this process, the research on the relationship between the social network of entrepreneurs and the growth of the family enterprise, the relationship between the control right and the growth of the family enterprise, the social network of the entrepreneur and the social network of the entrepreneur The research progress of the relationship of control right between the three variables, provides theoretical support for the construction of the theoretical model and the hypothesis of empirical research. (2) exploratory case study. Based on the study of the case of the NVC control right in the typical family enterprise, the author deeply analyzes the social network of the entrepreneur to the family business. The role of the long impact mechanism and the allocation of control rights. The case study has obtained the preliminary relationship between the three variables of this paper, including: first, the social network of entrepreneurs has an important positive impact on the growth of family enterprises; and second, the control rights allocation of family enterprises can affect the growth of family enterprises; Three, in the case of equity balance, the social network of entrepreneurs will affect the allocation of control rights of enterprises. (3) theoretical deduction and model construction. On the basis of literature review and review, the relationship between the three variables of this article is deducted, and the social network of entrepreneurs is built on the basis of the relevant research conclusions of the exploratory cases. The theoretical analysis model of control right allocation and family enterprise growth emphasizes the possibility of the intermediary role of control right allocation in the relationship between the two parties. On this basis, this research puts forward twenty research hypotheses for empirical test. (4) empirical test. This paper uses questionnaire survey method for empirical test, first of all, the research is involved. The research variables, such as the social network of entrepreneurs, the allocation of control rights and the growth of family enterprises, were designed. Then, the questionnaire was designed for the design and research of the system, and the family business entrepreneurs in our country were selected to carry out a questionnaire survey, and 165 valid questionnaires were collected, and the most later, the statistical method was used to describe the data of the recovery questionnaire. The empirical process of sexual statistical analysis, reliability and validity analysis, correlation analysis, multiple regression analysis and other empirical processes, the empirical results are obtained, and the research hypothesis is verified. Through the systematic research on the relationship between the control right allocation and the growth of the family enterprise, this paper obtains the following important conclusions: first, the social network of entrepreneurs. There are three major structural features including network size, network strength and network heterogeneity. Secondly, the impact of entrepreneurial social networks on family enterprise growth is tested. The empirical results show that the social network of entrepreneurs is an important factor in the growth of family business, the network size, network intensity and network heterogeneity of the social network of entrepreneurs are all capable The results show that control allocation is an important factor in the growth of the family business, the control of the shareholders' Congress, the control of the board of directors and the control of the manager level can significantly affect the growth of the family business. Finally, the control right is tested. The empirical results show that the allocation of control rights can play an intermediary role in the relationship between the social network of entrepreneurs and the growth of family enterprises. The control of the shareholders' conference has mediating effect on the relationship between the strength of the social network of entrepreneurs and the growth of the family enterprise, the board of directors. Control has mediating role in the social network strength of entrepreneurs, the relationship between network heterogeneity and the growth of family business. Management level control mediate the relationship between entrepreneur's social network intensity, network heterogeneity and family business growth.
