【摘要】： 第三人清偿制度突破了债之特定当事人之间的关系,有其自身的价值,得到了各国法律的承认,但对其规范又各有所不同。应在比较各国的第三人清偿制度和区分债法中涉及的其它第三人相关制度的基础上对我国的第三人清偿制度予以完善,以适应经济发展的需要。第三人清偿一般可分为一般第三人清偿和代位清偿,二者的有效要件有所不同,法律性质和效力也各有不同。一般第三人清偿,第三人有效清偿后一般会获得对债务人的求偿权。而代位清偿中,则第三人在求偿权之外还会获得代位权,即代位债权人对债务人行使债权,以确保第三人的求偿权的实现。第三人承诺清偿也是现实生活的常有的一种现象,对其法律性质和效力的认定关系到对这种现象的合理有效的调整。对第三人清偿制度的完善应当正确区分第三人清偿制度与相关制度所调整的不同内容和具有的不同功能。而我国现有的第三人清偿制度零散、混乱,并存在与其它的制度相混淆的现象,不能适应现实生活的需要。需要在我国未来的民法典中对其加以重新的设计,以使其系统化、规范化,并能和其它相关制度有效衔接。
