有限责任公司股东承包经营问题研究

【摘要】：承包经营责任制在国有企业改制中被宣布失败后,似乎销声匿迹。然而近些年,股东承包经营有限公司这一新的经营模式在实践中又悄然兴起,由此引发人们对有限公司股东承包经营合同的效力产生了争议。在现代市场经济体制下,在新公司法鼓励公司自治的基本理念指引下,有限公司股东承包经营模式是否有其存在的合理性,以及合理性存在的法理依据是什么,积极影响是什么,都是实务中亟待澄清和解决的问题。本文拟通过对实践中出现的有限公司股东承包经营的案例分析以及法理分析,并将公司自治理念贯穿其中,对上述相关问题做出回答和解释,并提出相应的改进措施。全文共分四个部分,具体而言：第一部分,有限责任公司股东承包经营合同综述。该部分首先对股东承包经营公司的含义和特征进行了概括,对承包经营合同的发包主体进行了论述。其次阐述了公司承包经营产生的历史背景,主要是承包经营责任制在我国发展的各个历史阶段以及如何催生了有限公司的承包经营。在该部分最后,提出了本篇论文研究的重点,即承包经营合同的效力问题；在列举分析了理论界中存在的关于承包经营合同的效力争议之后,笔者提出了自己的见解,并解释了承包股东在承包经营后是否享有有限责任待遇的问题。第二部分,有限责任公司股东承包经营的基本理论分析。此部分是本文的理论核心部分。在此部分的前四节,笔者分别从公司自治的角度、公司法规范的性质的角度、公司章程的性质的角度、承包合同的性质的角度分析了公司承包经营合同的有效性与合理性。最后对传统公司经营模式下“三权分立”的治理结构进行了简单介绍,并指出了这种传统模式下存在的“大股东内部控制问题”和“股东干预和经营者独立倾向的矛盾问题”等。第三部分,股东承包经营对有限责任公司治理的影响。在前两部分的理论基础上,此部分首先指出了股东承包经营公司后产生的公司治理结构的变化,其中包括此种承包模式对股东会制度和股东权利的影响,对董事会制度和监事会制度的影响以及对公司经理、法定代表人制度的影响等。接着明确提出了股东承包经营公司产生的积极作用：主要解决了传统模式下有限责任公司中存在的问题,即经营者获得了自主经营权,同时收益和风险同步转移,避免了“股东干预和经营者独立倾向之间的矛盾”。最后文章指出了“小公司”是采取承包经营模式的最佳选择,并说明了理由。第四部分,有限责任公司股东承包经营中存在的问题及建议。首先,关于股东承包收益分配问题,本部分明确指出在承包经营模式下,可以突破公司法中关于公司利润分配的倡导性规定,而根据承包合同中双方自由协商规定的分配方式分配利润；同时在债务承担问题上,也依据合同的相对性原理分析了承包股东、发包公司以及债权人之间的权利义务关系。其次,提出了关于承包股东可能对公司未来利益造成损害的问题,以及相应的对策建议。最后,文章提出了股东承包经营公司的风险防范措施,主要是关于有限公司在订立承包合同时的具体决议程序安排,以及对承包经营期限、承包金的缴纳比例、收益分配等条款的灵活规定。
[Abstract]:However , in recent years , the new mode of operation of the shareholders ' contracting and operation company has arisen in practice . However , in recent years , there is a dispute about the effectiveness of the contract of the shareholder ' s contract . In the modern market economy system , it is urgent to clarify and solve the problem in practice . In this paper , the paper intends to answer and explain the above - mentioned problems through case analysis and legal analysis of the shareholder ' s contract management in practice , and put forward the corresponding improvement measures . The full text is divided into four parts , in particular : Firstly , the article summarizes the meaning and characteristics of the contractor ' s contract management company , and discusses the historical background of the contract management . The second part is the basic theoretical analysis of the shareholder ' s contract management of limited liability company . This part is the core part of the thesis . In the first four sections of this part , the author analyzes the validity and rationality of the contract in the company contract from the angle of company autonomy , the nature of company law norm , the nature of the contract , and points out the problems of " internal control of big shareholder " and " contradiction between shareholder intervention and operator ' s independence tendency " in the traditional mode . In the third part , on the basis of the former two parts , this part firstly points out the change of the corporate governance structure generated after the shareholder ' s contract operation , including the influence of such contracting mode on the shareholders ' meeting system and the shareholder ' s rights , the influence on the system of the board of directors and the system of the supervisory board and the influence on the company manager and the legal representative system . In the fourth part , there are some problems and suggestions in the shareholders ' contract management of limited liability company . First of all , on the issue of shareholder contract income distribution , this part clearly points out that under the contract management mode , the rights and obligations relationship between the contracting shareholder , the contracting company and the creditor can be broken through according to the relative principle of the contract .
