授权资本制符合国情──浅析资本金制度

【摘要】：根据现行公司法，我国对内资企业进行公司注册登记主要实行实收资本制，实践证明，由于我国尚处于社会主义初级阶段，生产力水平还较低下，这一制度容易产生诸多弊端，本文在对资本金制度进行全面分析的基础上，，认为授权资本制符合国情，对修改并重新制定公司法，对消除实收资本制带来的观念及实践方面消极作用提出了看法。
[Abstract]:According to the current company law, China mainly carries out the system of paid-in capital for the registration of domestic enterprises. The practice has proved that because our country is still in the primary stage of socialism and the level of productivity is still low, this system is easy to produce many disadvantages. Based on the comprehensive analysis of the capital system, this paper thinks that the authorized capital system is in line with the national conditions, and puts forward some views on revising and reformulating the company law and eliminating the negative effect of the concept and practice brought about by the paid-in capital system.
