公司治理结构亟待加强法律保障

【摘要】：现代企业制度改革的一个重要障碍是公司治理结构的法律保障跟不上。1 993年颁发的《公司法》实行以来 ,许多新问题没有从法律上解决 ,不仅存在立法上的缺陷 ,而且存在执法不严和有法不依。因此 ,要完善《公司法》的相关条款 ,严格执行《公司法》和相应法规 ,对公司“利益相关者”要有法律维护 ,制定企业党建工作、工会工作的法规。加强公司治理的法律保障还须充分利用《破产法》的警示作用 ,造就公司治理的良好环境。
[Abstract]:An important obstacle to the reform of the modern enterprise system is that the legal guarantee of the corporate governance structure cannot keep up with the implementation of the Company Law issued in 1.93. Many new problems have not been solved legally, and there are not only defects in the legislation. Therefore, it is necessary to perfect the relevant provisions of the Company Law, strictly enforce the Company Law and corresponding laws and regulations, maintain the company's "stakeholders" by law, and formulate the work of party building in enterprises. To strengthen the legal protection of corporate governance, it is necessary to make full use of the warning function of bankruptcy Law to create a good environment for corporate governance.
