【摘要】：正一、股东瑕疵出资行为的认定瑕疵出资,是指股东履行出资不符合法律和公司章程的规定,存在缺陷,包括对出资义务的不履行和不适当履行。二、瑕疵出资下股东资格的认定和解除(一)股东资格的认定股东资格即股东成为公司的一员所应当具备的条件,一般认为股东必须为完全民事行为能力人,无行为能力或限制行为能力人不能成为股东。一些国家还对股东的国籍和居住地做出了限制,如意大利公司法规定,公司发起人虽不一定具有意大利国籍,但在外国人持有意大利公司30%以上股份时,须经意大利财政部批准;挪威公司法规定,
