金融衍生产品交易中的卖方受信义务

【摘要】：金融衍生产品十分专业、复杂,买方往往无法弄懂自己所购买的产品,而只能依赖卖方提供的建议进行投资决策。在此情况之下,买卖双方之间存有信赖关系,卖方应当对买方承担忠实与勤勉之责。信赖关系与受信义务是英美金融法的重要基石,存有信赖关系的金融衍生产品交易,卖方应当对买方负担受信义务。我国公司法引入衡平法观念的成功经验值得借鉴,为保护投资者利益,应通过专门立法对信赖关系、受信义务以及违反受信义务的特别法上的请求权进行规定。
[Abstract]:Financial derivatives are so professional and complex that buyers are often unable to understand what they are buying, and can only rely on advice from the seller to make investment decisions. In this case, there is a trust relationship between the buyer and the seller. The seller shall bear the duty of loyalty and diligence to the buyer. Trust and fiduciary obligations are important cornerstones of Anglo-American financial law. The seller should bear the fiduciary obligation to the buyer. The successful experience of introducing the concept of equity in the company law of our country is worth drawing lessons from. In order to protect the interests of investors, the trust relationship should be protected by special legislation. Fiduciary obligation and breach of fiduciary obligation in special law claim to be stipulated.
