【摘要】： 我国新《公司法》确立的分期缴纳出资制度使得分期缴纳出资期间内公司股东的未足额出资股权及其转让时的相关问题呈现出一种特殊的复杂状态。由于我国新《公司法》尚欠缺对未足额出资股权转让的相应具体配套规则设计,分期缴纳出资制度下未足额出资股权转让就在司法实践中面临着诸多新的问题。比如说:如何合理界定这类未足额出资股权?未足额出资股权能否进行转让及如何认定这类股权的转让协议的效力?未足额出资股权的转让是否需要遵循一些特殊的转让程序规则,其转让价格的确定、转让所带来的法律后果如何等等。这些问题如果不能得到在法律层面的明确规定来加以解决,势必造成司法实践中的混乱和困惑。鉴于此,本文依据公司法以及民事权利相关法律规则等基本理论,主要针对分期缴纳出资制度下有限责任公司未足额出资股权的转让问题进行分析,并提出了相关法律规则的完善建议。全文除导言和结束语外,共分三章,第一章为“未足额出资股权转让面临的新问题”;第二章为“未足额出资股权转让若干法律问题的分析”;第三章为“未足额出资股权转让法律规则的完善建议”。第一章根据实际案例提出未足额出资股权转让面临的一些新问题及分析我国新《公司法》规则设计应对的不足。第二章针对未足额出资股权能否进行转让、如何进行转让以及转让后的后续出资义务应由谁承担等问题进行具体分析。第三章结合股权转让法律规则设计的目标,对有限责任公司未足额出资的股权转让的法律规则完善提出了自己的建议。
[Abstract]:The system of contribution by installment established in the new Company Law of our country makes the shareholders of the company not fully capitalize in the period of contribution by installment and the problems related to the transfer of the shareholders in the period of the period of the period of capital contribution by instalments show a special and complex state.Because the new Company Law of our country still lacks the corresponding matching rules for the transfer of the shares that are not fully funded, there are many new problems in the judicial practice for the transfer of the shares which are not fully funded under the system of installment contribution.For example: how to define this kind of underfunded equity?Can underfunded equity be transferred and how to determine the validity of the transfer agreement for such equity?Whether the transfer of underfunded shares should follow some special rules of transfer procedure, the determination of the transfer price, the legal consequences of the transfer and so on.If these problems can not be resolved in the legal level, it will lead to confusion and confusion in judicial practice.In view of this, according to the company law and civil rights related legal rules and other basic theories, this paper mainly focuses on the transfer of the limited liability company's underfunded equity under the system of installment contribution.And put forward the relevant legal rules to improve the proposal.In addition to the introduction and concluding remarks, the full text is divided into three chapters: the first chapter is "New problems in the transfer of underfunded shares", the second chapter is "Analysis of some legal problems in the transfer of shares with insufficient capital contribution".The third chapter is the suggestion of perfecting the legal rules of underfunded equity transfer.The first chapter puts forward some new problems in the transfer of underfunded shares according to practical cases and analyzes the deficiencies in the design of the new Company Law rules in China.In the second chapter, the author makes a concrete analysis on the transfer of the underfunded equity, how to transfer and who should bear the subsequent contribution obligation after the transfer.In the third chapter, the author puts forward some suggestions on how to perfect the legal rules of equity transfer, which is not fully funded by the limited liability company in combination with the goal of designing the legal rules of equity transfer.
