股东查阅权正当目的限制之初探

【摘要】：随着新公司法改革推进,股东查阅权得到进一步发展和保证。不过现行公司法关于查阅权制度方面仍有许多不足。重视查阅权保障的同时,更应注意对查阅权行使的正当目的进行合理限制。文章分为三个部分,第一部分限制股东查阅权正当目的的理论原因,第二部分正当目的的限定,第三部分正当目的举证责任。通过对股东查阅权正当目的的限制的研究,进一步切实有效的保障股东权利。
[Abstract]:With the promotion of the reform of the new company law, the right to consult the shareholders has been further developed and guaranteed. However, there are still a lot of shortcomings in the current company law on the right to consult. While paying attention to the protection of the right of inspection, we should pay more attention to the reasonable limits of the legitimate purpose of exercising the right of inspection. The article is divided into three parts, the first part limits the right to consult the shareholders. The theoretical cause of the legitimate purpose, the limitation of the second part of the legitimate purpose, the third part of the justifiable purpose of proof. Through the study of the limitation on the legitimate purpose of the right to consult the shareholders, the rights of the shareholders are effectively and effectively guaranteed.
