公司审批制度与行政性垄断——兼论中国公司法的走向

【摘要】：作者认为:行政性垄断与现行的公司审批制度有不解之缘。现行的公司审批制度是政出多门的设立许可制度,公司的发起、经营范围、基建项目审批分属不同主管部门;政企不分、官商不分成为无法治愈的先天性公司病,垄断与部门权力分割交织一体,社会资源在审批过程中大量浪费。因此,通过强化部门审批权来整顿公司只会加剧行政性垄断和部门权力的分割。只有开放设立公司的通路、击破行政性垄断的壁垒,才能形成公平竞争的环境。
[Abstract]:The author thinks that the administrative monopoly has an inextricable relationship with the current company examination and approval system. The current company examination and approval system is a system of establishing and licensing the government and the various branches of government. The company's initiation, scope of operation, and examination and approval of capital construction projects belong to different departments in charge. There is no distinction between government and enterprises, and government and business have become an incurable congenital disease of the company. Monopoly and division of departmental power are intertwined, and social resources are wasted in the process of examination and approval. Therefore, strengthening the authority of department approval to rectify the company will only aggravate administrative monopoly and division of departmental power. Only by opening the channel of setting up the company and breaking down the barrier of administrative monopoly can the environment of fair competition be formed.
