我国银行保险法律监管问题研究

【摘要】:银行保险,最早于20世纪70年代作为银行业与保险业相互合作的一种金融创新起源于法国,在欧美国家已发展比较成熟。银行保险的早期开展形式是银行代理销售保险产品,后来随着银行和保险公司合作的不断深入,逐渐形成了银行与保险公司之间的排他性的战略联盟,成立合资企业或者金融集团形式的银行保险。银行保险业务在很大程度上推动了一国的金融业发展,并有利于经济全球化的实现。目前,我国的银行保险还处于初期的银行代理保险模式,虽然近几年发展迅速,但在业务开展过程中出现了诸多问题,如:银保合作层次低,偏重短期利益,产品结构单一,手续费恶性竞争,代理销售过程中误导宣传现象严重等,这些问题严重影响了我国银行保险的发展,也不利于我国金融市场的稳定。因此,尽快找出这些问题的根源,并提出科学合理的解决办法,是实现我国银行保险快速健康发展的当务之急。 本文从法律监管角度出发,介绍了我国现有的银行保险法律监管制度,指出其中存在的不足之处,通过分析国外银行保险法律监管制度并借鉴其成功的立法经验,提出构建我国银行保险法律监管制度框架的新思路。主要内容有: 第一部分,分为两个层次,第一个层次介绍了银行保险的概念,经营模式,国外及国内银行保险的产生和发展过程,重点指出我国银行保险在业务开展过程中出现的问题;第二个层次介绍了银行保险法律监管制度的含义,特点,监管的意义和监管的原则,指出我国对银行保险监管的原则是规范与引导并重。 第二部分,介绍了我国现有的银行保险法律监管制度和监管体制,并指出其中的不完善之处。我国现有的银行保险监管制度大部分是部门规章,法律体系不完备,法律制度不健全。严格分业的监管体制很难对行业交叉业务进行有效的监管。 第三部分,首先介绍了国际上银行保险的发展情况,其次重点分析英国、法国和美国的银行保险法律监管制度,研究其发展规律及成功的经验,并从中总结出对我国的启示,指出我国在立法上逐渐放松对金融混业经营的管制,在监管体制上也应该加强监管部门之间的协调性。并且提出我国银行保险未来的发展应该选择金融控股公司形式。 第四部分,探讨了我国银行保险立法模式的选择,提出我国银行保险的监管立法应该结合我国的国情,遵守“循序渐进”的原则,先由国务院颁布《银行保险业务管理条例》对我国目前的银行代理保险业务进行规范,并对我国银行保险未来的发展道路指引方向。我国有关法律法规也要逐步放松对金融业之间混业经营的管制。未来立法可以考虑制定《金融控股公司法》,对以金融控股公司形式开展的银行保险进行规范。文章最后提出了各地监管部门还要制定相关配套措施,以保证我国银行保险的稳定健康快速发展。
[Abstract]:Bancassurance originated in France as a kind of financial innovation in the cooperation between banking and insurance industry in the 1970s. It has developed more mature in Europe and America. The early form of bancassurance was to sell insurance products on behalf of banks. Later, with the deepening of cooperation between banks and insurance companies, an exclusive strategic alliance between banks and insurance companies was gradually formed. The establishment of joint ventures or financial groups in the form of bancassurance. To a great extent, bancassurance promotes the development of a country's financial industry and is conducive to the realization of economic globalization. At present, our country's bancassurance is still in the early stage of bancassurance insurance mode. Although it has developed rapidly in recent years, there are many problems in the process of business development, such as low level of bancassurance cooperation, emphasis on short-term benefits, and single product structure. The vicious competition of handling fees and misguided propaganda in the process of agency sales seriously affect the development of China's bancassurance and are not conducive to the stability of our financial market. Therefore, it is urgent to find out the root of these problems as soon as possible and put forward scientific and reasonable solutions to realize the rapid and healthy development of China's bancassurance. From the angle of legal supervision, this paper introduces the existing legal supervision system of bancassurance in our country, points out the shortcomings in it, analyzes the legal supervision system of foreign bancassurance and draws lessons from its successful legislative experience. This paper puts forward a new idea of constructing the legal regulatory framework of China's bancassurance. The main contents are: The first part is divided into two levels. The first level introduces the concept of bancassurance, business model, the emergence and development of foreign and domestic bancassurance, and points out the problems in the process of bancassurance in our country. The second level introduces the meaning, characteristics, significance and principle of supervision of the legal supervision system of bancassurance, and points out that the principle of supervision of bancassurance in our country is both normative and guiding. The second part introduces the existing legal supervision system and supervision system of bancassurance in China, and points out its imperfections. The present supervision system of bancassurance in our country is mostly a department regulation, the legal system is not complete and the legal system is not perfect. Strict separate supervision system is difficult to effectively supervise the cross-industry business. The third part first introduces the development of international bancassurance, then analyzes the legal supervision system of bancassurance in Britain, France and the United States, studies its development law and successful experience, and sums up the enlightenment to our country. It is pointed out that our country should gradually relax the regulation of financial mixed operation in legislation and strengthen the coordination between the supervision and control departments in the supervisory system. And put forward that the future development of China's bancassurance should choose the form of financial holding company. In the fourth part, the author discusses the choice of legislation mode of bancassurance in our country, and puts forward that the supervision legislation of bancassurance in our country should be combined with the national conditions of our country and abide by the principle of "gradual and orderly". First, the State Council promulgates the Regulation on the Management of Banking Insurance Business, standardizing the current bancassurance business in China, and guiding the future development of the bancassurance in China. Relevant laws and regulations of our country should also gradually relax the regulation of mixed operation between the financial industry. Future legislation may consider formulating Financial holding Company Law to regulate the banking insurance in the form of financial holding companies. Finally, the author puts forward the relevant measures to ensure the stable, healthy and rapid development of China's bancassurance.
