【摘要】：矿业是国民经济重要基础性产业之一,合理开发矿产资源,使其更好地对我国经济社会的快速发展提供持久而有力的支撑,是非常重要的课题。随着我国社会主义市场经济体制的建立和逐步完善,各类经济资源的流转日益活跃,市场在资源配置方面发挥的基础性作用逐渐增强。但是在矿产行业,应该作为矿业权流转形式的“作价出资”在法律规定上仍不明确,在实践中亦不充分。这种情况下,矿业权持有人以矿业权融资或出资入股会遇到各类障碍,资本提供方对矿业的投资也会出现不畅的局面。本文拟通过五个部分分析矿业权出资的相关法律问题。第一部分,阐述我国矿业权的含义及其属性。第二部分,结合《公司法》、《矿产资源法》及其配套法规的规定,阐述了矿业权出资的合法性;结合现物出资的理论阐释矿业权作价出资适格性。第三部分,介绍了我国矿业权出资的实践及存在的问题。第四部分,对矿业权出资后,容易引发的股东间、公司与债权人间利益的不平衡问题给予关注。第五部分,给出了完善矿业权出资制度的建议。
[Abstract]:The mining industry is one of the important basic industries of the national economy. It is a very important subject to develop mineral resources rationally to provide lasting and powerful support for the rapid development of our country's economy and society. With the establishment and gradual improvement of the socialist market economic system in China, the circulation of various economic resources is becoming more and more active, and the basic role played by the market in the allocation of resources is gradually enhanced. However, in the mineral industry, it is still unclear in law and insufficient in practice that the "price contribution" should be regarded as the form of mining right circulation. In this case, the holders of mining rights will encounter various obstacles in financing or investing in mining rights, and the investment of capital providers in the mining industry will also be blocked. This paper intends to analyze the relevant legal issues of mining right contribution through five parts. The first part expounds the meaning and attribute of mining right in our country. The second part, combined with the provisions of Company Law, Mineral Resources Law and its supporting regulations, expounds the legality of mining right contribution, and explains the appropriateness of mining right price contribution combined with the theory of existing property investment. The third part introduces the practice and problems of mining right investment in China. In the fourth part, the author pays attention to the imbalance between shareholders and creditors. The fifth part, has given the consummation mining right investment system suggestion.
