【摘要】：我国在2005年10月27日修订的《公司法》首次肯定了派生诉讼制度。引起了法律界对派生诉讼的关注。本文着重从以下四个部分进行探究并提出自己的观点：一、派生诉讼对小股东保障的必要性。主要阐述了小股东的概念及地位、特殊保护的不足、派生诉讼的价值和作为保障小股东利益的救济手段具有不可替代的作用。二、我国小股东利益派生诉讼保障的现状及成因。通过统计数字及典型案例说明现目前小股东利益缺乏保障的现状及问题的原因。三、三大法域派生诉讼制度比较研究,分析美国,法国,德国的成功立法例并对此进行分析比较。四、完善我国派生诉讼对小股东利益保障的构想。对于控股股东的不当行为,小股东提起派生诉讼时可以申请对自身的救济。同时,小股东在胜诉后享有胜诉利益请求权,诉讼成本补偿权和股东退出请求权。
[Abstract]:The Company Law, amended on October 27, 2005, affirmed the derivative litigation system for the first time. Has aroused the legal profession to derive the lawsuit the attention. This paper focuses on the following four parts to explore and put forward their own views: first, the necessity of derivative litigation to protect minority shareholders. This paper mainly expounds the concept and status of minority shareholders, the deficiency of special protection, the value of derivative litigation and the irreplaceable role as relief means to protect the interests of minority shareholders. Second, the status quo and causes of minority shareholder derivative litigation. Through statistics and typical cases to explain the current situation and problems of minority shareholders' lack of protection. The third, three major jurisdictions derivative litigation system comparative study, analysis of the United States, France, Germany's successful legislation and analysis of this comparison. Fourth, consummate our country derivative lawsuit to the minority shareholder benefit safeguard idea. Minority shareholders may apply for relief to their controlling shareholders when filing derivative actions. At the same time, minority shareholders enjoy the right to claim for interest, the right to compensate for litigation costs and the right of shareholders to withdraw.
