公司社会责任下的董事义务

【摘要】：公司社会责任起始于上世纪20年代的美国,后来随着公司社会责任运动,公司社会责任渐渐为世人所熟悉。自从提出公司社会责任概念之后,公司究竟是否应当承担社会责任一直都是学者们争议的焦点。其中贝利和多德论战最为著名,这促进了公司社会责任的研究。传统的公司法是以个人为本位的私法自由为理论基础,公司以追求股东利益最大化为根本目的。而随着社会的发展,私法已经向社会本位转变,在此基础上公司的理念必然也要向着社会本位转变,而要求公司承担社会责任正是这种转变的体现。公司承担社会责任已成为学界和实务界的主流观点。如何落实公司社会责任是必须要讨论的问题。本文从公司治理的角度提出应当将公司社会责任引入到董事的义务中去,这种方式是最有效、最可行的方式。本文的结构如下：第一部分主要介绍公司社会责任的概述；介绍公司社会责任的发展过程以及公司社会责任的定义；明确公司社会责任的内涵作为下文讨论的前提。第二部分主要论述公司社会责任下的公司治理。介绍了传统的公司治理模式,以及公司社会责任对公司治理的影响。第三部分主要论述了传统的公司董事义务；分析了关于公司治理中如何落实公司社会责任的几种方式,并且结合“路径依赖理论”得出最有效的落实公司社会责任的方式在于将公司社会责任引入董事义务。第四部分主要论述如何将公司社会责任引入董事义务,分析了促进董事履行公司社会责任的激励机制和约束机制。第五部分主要以上汽集团公司社会责任报告为例,分别从公司治理角度评价董事义务和公司落实社会责任情况。并且就我国公司法如何通过董事义务的设定落实公司社会责任提出立法建议。
[Abstract]:Corporate social responsibility (CSR) began in America in the 1920s and became familiar to the world with the CSR movement. Since the concept of corporate social responsibility (CSR) was put forward, whether or not the company should bear CSR has always been the focus of controversy among scholars. Among them, Bailey and Dode are the most famous, which promotes the research of corporate social responsibility. The traditional company law is based on the freedom of private law based on the individual, and the company aims to maximize the interests of shareholders. With the development of society, the private law has changed to the social standard, and on this basis, the idea of the company must also change to the social standard, and the requirement of the company to bear the social responsibility is the embodiment of this change. Corporate social responsibility has become the mainstream view of academic and practical circles. How to implement CSR is a problem that must be discussed. This paper puts forward that corporate social responsibility should be introduced into directors' obligations from the angle of corporate governance, which is the most effective and feasible way. The structure of this paper is as follows: the first part mainly introduces the overview of corporate social responsibility; introduces the development process of corporate social responsibility and the definition of corporate social responsibility; defines the connotation of corporate social responsibility as the premise of the following discussion. The second part mainly discusses corporate governance under corporate social responsibility. This paper introduces the traditional corporate governance model and the influence of corporate social responsibility on corporate governance. The third part mainly discusses the traditional obligations of company directors; This paper analyzes several ways of how to implement corporate social responsibility in corporate governance, and draws a conclusion that the most effective way to implement corporate social responsibility is to introduce corporate social responsibility into directors' obligations combined with "path dependence theory". The fourth part mainly discusses how to introduce corporate social responsibility into directors' obligations, and analyzes the incentive mechanism and restraint mechanism to promote directors to fulfill corporate social responsibility. The fifth part mainly takes the SAIC group corporate social responsibility report as an example, respectively from the corporate governance angle to evaluate the director's obligation and the company to carry out the social responsibility situation. It also puts forward legislative suggestions on how to implement corporate social responsibility through the establishment of directors' obligations in our company law.
