质量保证金的法律探讨

【摘要】：正当事人在商品买卖交易中约定质量保证金的情形十分常见,①但合同法、担保法等法律中却缺少相关规定,理论界对质量保证金的性质特点、价值功能、适用规则等亦无系统的研究探讨。由于理论支撑不足,规则欠缺,审判实务中对质量保证金的认识以及质量保证金纠纷案件的裁判尺度不一。为此,笔者拟对质量保证金的法律问题进行研究。一、质量保证金的内涵及功能质量保证金是为了担保标的物的质量,由出卖人向买受人预先支付的一定数额的金钱。当质量保证期间届满标的物无质量问题时,买受人将该金钱退还出卖人。
[Abstract]:It is very common for the parties to agree on the quality margin in the trading of commodities. However, there is a lack of relevant provisions in the law of contract law and the law of guaranty, and the theoretical circle is concerned about the nature and value function of the quality margin. There is no systematic study on the applicable rules. Due to the lack of theoretical support and the lack of rules, the understanding of quality margin in trial practice and the judgment criteria of quality margin dispute cases are different. Therefore, the author intends to study the legal issues of quality margin. First, the connotation and function of the quality margin is to guarantee the quality of the subject matter, a certain amount of money paid in advance by the seller to the buyer. The buyer returns the money to the seller when there is no quality problem with the subject matter at the end of the warranty period.
