情势变更原则的实务分析

【摘要】：情势变更是合同履行中常见问题之一。适用情势变更原则的意义在于促进实现合同目的，调整当事人之间失衡的利益格局、减少合同纠纷、促进合同正常履行等。在经济活动中，因外界环境的变化而导致合同的履行发生困难或者无法履行的情况常有发生，但我国现行合同法并没有相关规定，直至2009年《合同法解释（二）》对情势变更原则作出了相应的规定，确立了情势变更原则在我国法律上的地位，但《合同法解释（二）》只是司法解释，情势变更尚缺乏在立法上的确立，且只对情势变更原则做了宏观、整体上的定义以及处理意见，符合情势变更认定的具体情形是什么，适用情势变更原则在司法应用中应遵循怎样的程序，都没有做出指导性规定。笔者整理分析了情势变更的理论观点，回顾了我国情势变更原则的历史沿革，探究情势变更与其他相关概念的关系，，认为如果能在《合同法》中对情势变原则从立法上确立下来；并对情势变更原则的适用程序，如提出情势变更主体、设调解为前置程序进行具体设定；引入“量”的标准把情势变更与商业风险作出明确区分；再对情势变更的适用条件作出具体设定以避免法官自由裁量权的滥用等，可以加强情势变更原则的司法应用性能，使之为社会经济健康发展提供应有的法律保障。
[Abstract]:The situation change is one of the common problems in the performance of the contract. The significance of applying the principle of situation change is to promote the realization of the purpose of the contract, to adjust the interests pattern of imbalance between the parties, to reduce the disputes of the contract, and to promote the normal performance of the contract, etc. In economic activities, difficulties or inability to perform contracts often occur due to changes in the external environment, but there are no relevant provisions in China's current contract law. Until 2009 "contract Law interpretation (2) > made the corresponding stipulation to the circumstance change principle, established the circumstance change principle in our country legal status, but < contract Law interpretation (2) > is just the judicial interpretation," The situation change has not been established in the legislation, and only the principle of the situation change has been made macroscopically, the overall definition and the handling opinions, and what are the specific circumstances that accord with the determination of the change of circumstances? What procedure should be followed in the judicial application of the principle of change of circumstances has not been guided. The author collates and analyzes the theoretical viewpoints of situation change, reviews the historical evolution of the principle of situation change in China, and probes into the relationship between situation change and other relevant concepts. The author thinks that if the principle of situational change can be established in contract Law, it can be legislated. And the procedure of application of the principle of change of circumstances, such as proposing the subject of change of situation, setting mediation as the pre-procedure, introducing the criterion of "quantity" to make a clear distinction between the change of situation and the commercial risk; Furthermore, the specific setting of the applicable conditions of the change of circumstances to avoid the abuse of the judge's discretion can strengthen the judicial application performance of the principle of the change of circumstances and make it provide due legal protection for the healthy development of social economy.
