【摘要】:改革开放以来,商业秘密已经是很多企业特别是高新技术企业的宝贵财产,它对企业在市场上保持竞争优势并赢得竞争起着十分重要的作用。然而,由于我国在商业秘密保护法律制度建设上起步比较晚,且大部分企业对自身的商业秘密保护认识不到位,没有采取有效的措施保护企业商业秘密,使得劳动者因经济利益频频出现泄露企业商业秘密现象。因此,完善我国商业秘密保护法律制度、增强企业对商业秘密的保密意识已经迫在眉睫。 本文首先第一章介绍了基于劳动关系泄露商业秘密的概括情况,分别介绍了商业秘密概念、特征以及侵犯商业秘密的一般表现,然后通过论述基于劳动关系侵犯商业秘密的表现形式,将商业秘密的泄露与劳动关系之间联系起来。 本文第二章论证了劳动关系中商业秘密的归属问题,分为职务开发和非职务开发的商业秘密,同时对比了世界各国对商业秘密归属界定的不同。 本文第三章通过实证分析了劳动关系中商业秘密的保护问题,分别通过对包括案件总体状况、诉讼请求状况以及典型案例的分析,得出目前我国侵犯商业秘密损害赔偿制度在实践的诸多特点,并针对以上分析内容进行了问题和原因总结。 最后本文第四章从企业层面和立法层面提出了包括加强企业商业秘密保护意识、制定相应规章制度、通过签订保密协议等措施以及立法上完善配套法律、增设惩罚性赔偿责任及构建特殊司法诉讼程序方面去论述如何完善劳动关系中商业秘密的保护。 总结而言,只有对劳动关系中的商业秘密制度予以建立和完善,才能在源头清除企业商业秘密的侵权行为,构建起一套健全、系统、全面的商业秘密保护法律体系,才能为商业秘密保护从根本上提供强而有力的支撑和保障。
[Abstract]:Since the reform and opening up, trade secrets have been the valuable property of many enterprises, especially high-tech enterprises, which play a very important role in keeping the competitive advantage and winning the competition in the market. Because our country starts relatively late in the construction of the legal system of trade secret protection, and most enterprises do not know enough about their own trade secret protection, they have not taken effective measures to protect the business secret. Therefore, it is urgent to perfect the legal system of trade secret protection in our country and to enhance the confidentiality consciousness of enterprises. The first chapter of this paper introduces the general situation of revealing trade secrets based on labor relations, introduces the concept and characteristics of trade secrets, as well as the general behavior of infringing trade secrets. Then, by discussing the manifestation of violation of trade secret based on labor relation, the leakage of trade secret is connected with labor relation. The second chapter discusses the attribution of trade secrets in labor relations, which is divided into two categories: duty development and non-duty development. At the same time, it compares the different definitions of business secrets in the world. The third chapter analyzes the protection of trade secrets in labor relations, including the general situation of cases, the status of claims and typical cases. This paper draws many characteristics of the current system of compensation for damages for infringement of trade secrets in our country, and summarizes the problems and reasons in view of the above analysis. Finally, the 4th chapter of this paper puts forward some measures, including strengthening the business secret protection consciousness, formulating the corresponding rules and regulations, signing the confidentiality agreement, and perfecting the supporting laws in legislation from the enterprise level and the legislative level. The establishment of punitive liability and the construction of special judicial proceedings to discuss how to improve the protection of trade secrets in labor relations. In conclusion, only by establishing and perfecting the trade secret system in the labor relations, can we eliminate the infringing behavior of the enterprise trade secret at the source, and construct a sound, systematic and comprehensive legal system for the protection of the trade secret. Only then can it provide strong and powerful support and protection for the protection of trade secrets.
