【摘要】:对公司与其高级管理人员来说,他们之间所建立的关系是否是劳动 关系,是否适用劳动法来调整,在合同订立中如何调整与规范,即为本 文拟探讨的课题。文章首先论证了对实践中有争议的公司高级管理人员 是否是劳动者的问题并作了肯定的结论,同时对此类劳动合同的特征做 了阐述。然后,文章从公司高级管理人员劳动合同的特征入手,在订立 程序、合同内容、法律效力等方面做了分析。作者认为此类合同应当引 入缔约过失责任制度,并作了相应的论述。最后,作者前瞻了劳动法劳 动合同的发展,指出公司高级管理人员劳动合同研究的普遍意义;并建 议在劳动法合同订立条款的修改中,引入要约承诺、缔约过失责任、合 同的可撤销等制度。

The author thinks such a contract should be cited as the analysis of the procedure , the content of the contract , the legal effect and so on .
In the end , the author looked forward to the labor law .
