竞业禁止与择业自由的法律平衡机制研究

【摘要】:在国际经济一体化、高新技术产业迅猛发展的背景下,基于劳动法调整的以商业秘密的法律保护问题为核心产生了竞业禁止制度,该制度的产生为企业的商业秘密的保护提供了一种事前预防的法律机制。然而,该制度所隐含的价值冲突即商业秘密保护与劳动者择业自由以及社会公共利益之间平衡问题也相伴而生。 近年来,关于竞业禁止法律问题的理论研究成果比较丰富,但囿于国内竞业禁止立法体制的固有局限令竞业禁止的司法实践操作困难重重。在众多的争议点当中,以竞业禁止与择业自由的利益平衡问题最为突出。在该制度中如何达到宪法赋予的劳动权和择业权、企业商业利益以及社会公共利益三者之间的平衡,如何保护商业秘密权得以保障的同时避免造成对劳动者的择业自由权利的过度限制,如何掌握好个中平衡是理论界应该着眼重点研究的问题。 本文除引言与结论外,分四个部分对竞业禁止与择业自由的法律平衡机制进行阐述: 第一部分:竞业禁止制度的产生及其制度价值。根据竞业禁止制度从一般到特殊的发展历程,指出在劳动法的视域下调整一般雇员与雇主之间的禁止竞业义务是本文着重研究的对象,进而论述了竞业禁止在商业秘密的保护、公平竞争秩序的维护以及契约精神的守护等方面的制度意义。 第二部分:竞业禁止与择业自由的法律冲突。该部分是本文理论分析的重点。从择业自由权利的特殊性、竞业禁止对择业自由权利的限制以及竞业禁止对择业自由权利的有限补偿三个方面对竞业禁止与择业自由存在法律冲突的原因及其表现形式进行了比较深入的探讨。 第三部分:竞业禁止与择业自由利益平衡的立法原则。在对竞业禁止与择业自由法律利益平衡的深入分析基础之上,该部分意欲总结出实现利益平衡应遵循的立法原则和基本立场,并以此指导司法实践对两种特殊权利进行合理的处置,以使这种冲突能够得到缓和和协调。 第四部分:实现竞业禁止与择业自由利益平衡的制度措施。本部分在前文所述的立法原则的指导下,从微观具体的角度试从竞业禁止协议的基本形式、内容、有效条件以及解除等方面模拟出竞业禁止制度的建议性法律条文。
[Abstract]:Under the background of international economic integration and the rapid development of high-tech industry, the non-competition system has emerged based on the adjustment of labor law, which takes the legal protection of trade secrets as the core. The emergence of this system provides a legal mechanism for the protection of business secrets. However, the value conflict implied by this system, that is, the balance between the protection of trade secrets, the freedom of workers to choose their jobs and the social public interests, also arises. In recent years, the theoretical research on the legal issue of non-competition is relatively rich, but the inherent limitations of the domestic non-compete legislation system make the judicial practice of non-competition difficult. Among the many controversial points, the interests balance between the prohibition of competition and freedom of choice of employment is the most prominent. In this system, how to achieve the balance between the right to work and the right to choose a job, the business interests of enterprises and the social public interests, which are given by the Constitution, How to protect the right to trade secrets while avoiding excessive restrictions on workers' right to choose a job, and how to master the balance among individuals is a problem that the theoretical circle should focus on. In addition to the introduction and conclusion, this paper expounds the legal balance mechanism between the prohibition of competition and freedom of choice of employment in four parts: The first part: the emergence and the system value of the non-compete system. According to the development of non-compete system from general to special, it is pointed out that adjusting the obligation between general employee and employer in the view of labor law is the object of this paper, and then discusses the protection of non-compete trade secrets. The system significance of the maintenance of fair competition order and the protection of contract spirit. The second part: the conflict of laws between the prohibition of competition and freedom of choice of employment. This part is the focus of the theoretical analysis of this paper. Considering the particularity of the right to freedom of choice of employment, This paper probes into the reasons and manifestations of the conflict of laws between the prohibition of competition and the freedom to choose a profession from three aspects: the restriction of the right to freedom of choice of employment and the limited compensation of the right to freedom of choice of employment from the prohibition of competition for a career and the limited compensation of the right to freedom of choice of occupation. The third part: the legislative principle of balancing the interests of non-competition and free choice of employment. Based on the deep analysis of the balance of legal interests between the prohibition of competition and the freedom to choose a career, this part intends to sum up the legislative principles and basic positions that should be followed to achieve the balance of interests. And guide the judicial practice to deal with the two special rights reasonably, so that the conflict can be alleviated and coordinated. The fourth part: the system measures to realize the balance between the prohibition of competition and the free interests of choice of employment. Under the guidance of the legislative principles mentioned above, this part attempts to simulate the proposed legal provisions of the non-compete system from the aspects of the basic form, content, effective conditions and dissolution of the non-compete agreement from the microscopic and specific point of view.
