职工参与制度立法研究

【摘要】: 进入二十世纪以来,随着公司的发展趋于规模化、社会化和国际化,公司逐渐成为了现代社会基本的经济细胞。将民主模式纳入经济这一广阔的领域之内,在公司中实行职工参与制度是社会进步和文明的一个标志,许多国家的公司法中均规定了各种形式的职工参与制度。 职工参与制度已经引起了公司法、劳动法等诸多法学领域的学者们的关注,但在目前职工参与制度的立法研究还是一个较新的课题,,许多问题还有待于深入探讨和研究。 广义的职工参与制度是指职工通过一定形式在一定程度上参与公司决策、经营管理、监督以及利润分配的制度,狭义的职工参与制度通常是指职工参与管理制度。本文分别从经济民主、公司的社会责任、行为科学、人力资本等方面探讨了职工参与的理论依据。公司的生存发展离不开职工,当前我国公司出现的许多问题都跟忽视职工的作用分不开,在公司治理中导入职工参与制度在我国有着更多的现实意义。因此有必要研究和借鉴国外相关法律制度,分析我国现行职工参与制度立法所存在的不足,对我国职工参与制度的立法完善问题作一些探索。我国的职工参与制度主要有职工代表大会、职工监事和职工董事制度,对职工参与制度的立法研究主要围绕这三种制度展开。
[Abstract]:Since the 20th century, with the development of the company tends to scale, socialization and internationalization, the company has gradually become the basic economic cells of modern society. It is a symbol of social progress and civilization to bring the democratic model into the broad field of economy, and the system of employee participation in companies is a symbol of social progress and civilization. In many countries, various forms of employee participation system are stipulated in the company law of many countries. The system of employee participation has attracted the attention of many scholars in the field of law, such as company law and labor law, but at present, the legislative research of employee participation system is still a relatively new subject, and many problems still need to be deeply discussed and studied. The broad system of employee participation refers to the system in which workers and staff participate in the decision-making, management, supervision and profit distribution of the company to a certain extent through a certain form. The system of employee participation in a narrow sense usually refers to the system of staff and workers participating in the management system. This paper discusses the theoretical basis of employee participation from the aspects of economic democracy, corporate social responsibility, behavioral science, human capital and so on. The survival and development of the company can not be separated from the staff and workers. At present, many problems in our company can not be separated from neglecting the role of the staff and workers. It is of more practical significance to introduce the system of employee participation in the corporate governance in our country. Therefore, it is necessary to study and learn from the relevant foreign legal systems, analyze the shortcomings of the current legislation of employee participation system in our country, and make some explorations on the legislative perfection of the system of workers' participation in our country. The system of employee participation in our country mainly includes the staff Congress, the staff supervisor and the staff director system, and the legislative research on the employee participation system mainly revolves around these three systems.
