董事离任义务探析—以后合同义务理论为视角展开

【摘要】: 在现代公司制度中两权分离的体制下,董事作为公司的管理人员,在管理公司期间掌握了任何其他人员所无法比拟的关于公司人力、财力、机会等各方面的信息和经验。基于此,对董事义务进行明确的规范显得非常重要。从承担的时间上对董事义务进行划分,可将其划分为在任义务和离任义务。现在,对董事在任义务的研究很多,而对离任义务的研究则相对较少。随着近年来董事违反离任义务案件的急剧增多,有必要给予董事离任义务更多的关注。 但是,现行有关公司方面的法律规定以及约束劳动者行为的劳动法均没有明确董事离任义务,以至在实践中不能平衡离任董事与公司之间的利益关系。本文区分了几种关于董事离任义务的理论学说,论证了运用后合同义务理论解释约束董事离任义务的必要性和可行性。并在后合同义务理论的框架内论述了董事离任义务的特征,着重分析了董事离任后继续承担的商业秘密保密义务、竞业禁止义务、自我交易义务的主要特点。最后吸收后合同义务理论所阐释的董事离任义务品质,建议在《公司法》、《劳动法》、《劳动合同法》中有区别的加以完善规定。
[Abstract]:Under the system of separation of two powers in the modern company system, directors, as managers of the company, have grasped the information and experience on the human, financial and opportunity aspects of the company which can not be compared by any other personnel during the period of the management of the company. Based on this, it is very important to regulate the director's duty clearly. The obligations of directors can be divided into incumbent obligations and outgoing obligations. At present, there are a lot of researches on the present duty of directors, but less on the obligation of leaving office. With the rapid increase of directors' breach of duty, it is necessary to pay more attention to it. However, the current laws and regulations on the company and the labor law which restrict the labor behavior do not clearly define the obligation of the directors to leave office, so that the interest relationship between the outgoing directors and the company can not be balanced in practice. This paper distinguishes several theories about director's leaving duty, and proves the necessity and feasibility of applying post contract obligation theory to explain and restrict director's leaving obligation. In the framework of post-contractual obligation theory, this paper discusses the characteristics of directors' obligation to leave office, and emphatically analyzes the main characteristics of the duty of confidentiality of trade secrets, the obligation of prohibition of non-competition and the obligation of self-dealing which the directors continue to undertake after leaving their posts. Finally, it is suggested that the quality of directors' leaving duty, which is explained by the theory of post-contract obligation, should be improved differently in Company Law and Labor contract Law.
