信义义务的法理研究——兼论大陆法系国家信托法与其他法律中信义义务规则的互动

【摘要】：信义义务生成于英美法系。我国在移植信托制度时将信义义务一起引入进来:信托受托人负有忠实义务。而在我国传统民法的委托代理中受托人、代理人不负有忠实义务。为解决这些问题,日本的债权法修改以英美法的信义义务为基础,提出了在民法中增加,忠实义务的提案;与此相对,德国法以诚实信用原则为基础,学说和司法实践形成了相当于英美法信义义务的规则。我国虽植入了英美法系的信托制度,从与民法的契合度之角度,诚实信用原则作为我国信义义务的法理基础更为适宜。
[Abstract]:The duty of fiduciary comes from the common law system. When we transplant the trust system, our country introduces the fiduciary obligation together: the trust trustee has the duty of faithfulness, while in the traditional civil law of our country, the trustee has the fiduciary duty. In order to solve these problems, the amendment of Japanese creditor's rights law is based on the fiduciary duty of Anglo-American law, and puts forward a proposal to add the duty of loyalty to the civil law. In contrast, the German law is based on the principle of good faith, and the doctrine and judicial practice form the rules equivalent to the fiduciary duty of Anglo-American law. Although our country has implanted the trust system of Anglo-American law system. From the angle of conformity with civil law, the principle of good faith is more suitable as the legal basis of our country's fiduciary duty.
