意向书的法律约束力

【摘要】：意向书是前合同文件的重要类型之一,其法律约束力包括合同约束力、缔约责任约束力和合同解释约束力三个方面。意向书的主要功能是交换信息和建立信任,推进合同谈判进程,促成最终交易。根据不同谈判阶段的需求差异,谈判者也将有偏好地选择正式约束力和非正式约束力这两种不同强度的意向书,并产生相应的激励效果。目前我国司法实践中对意向书法律约束力的认定标准和具体做法不尽统一,未来的立法活动中应对意向书进行专门规定,制定符合商业需求的裁判规范。
[Abstract]:The letter of intent is one of the important types of the former contract documents, and its legal binding force includes three aspects: the binding force of the contract, the binding force of the contracting responsibility and the binding force of the contract interpretation. The main function of the letter of intent is to exchange information and build trust. Moving forward with the contract negotiation process leading to a final deal. Depending on the needs at different stages of the negotiations, negotiators will also have a preference to choose formal and informal binding terms of intent of two different intensities, At present, in our country's judicial practice, the legal binding standards and specific practices of the letter of intent are not uniform, and the future legislative activities should be specifically stipulated in the letter of intent. Establish the standard of the judge according to the business needs.
