动产作为“买卖不破租赁”客体的适格性分析

【摘要】:动产"买卖不破租赁"具有必要性:该规则的立法目的不在于保护弱势承租人生存利益,而在于保护承租人在先合同利益;动产并非一律具有极强的可替代性,且动产可替代性的论点不仅适用于承租人,亦适用于买受人;德国"买卖不破租赁"虽排除动产租赁,却有满足动产承租人维持在先用益利益的其他制度;司法实务中存在动产"买卖不破租赁"需要。指示交付与占有改定场合均有"买卖不破租赁"之可能;不动产与动产"买卖不破租赁"应一体把握,在机理上为承租人之在先租赁关系值得受尊重、在先用益利益值得被维持,在效果上乃令承租人之租赁权具有对抗第三人的效力;动产租赁亦具备向物权性异化的空间,应当淡化"债权物权化"概念,关注在先债权保护之实质问题。
[Abstract]:It is necessary to "buy and sell unbreakable lease" of movable property: the legislative purpose of this rule is not to protect the survival interests of weak lessees, but to protect the interests of the lessee's prior contract. The argument that movable property can be substituted applies not only to lessees but also to buyers. In judicial practice, there is the need of "buying and selling unbreakable lease". There is the possibility of "buying and selling unbroken lease" on the occasion of instructing delivery and possession modification, and "buying and selling unbroken lease" of immovable property and movable property should be grasped as a whole. In mechanism, the lessee's prior lease relationship is worthy of being respected, the benefit of the first use is worth maintaining, the effect is that the lessee's lease right is effective against the third party, and the movable property lease also has the space of alienation to the real right. We should desalinate the concept of property right of creditor's rights and pay attention to the essence of the protection of creditor's rights in advance.
