交易安全视角下我国不动产物权变动制度完善研究

【摘要】:不动产物权变动涉及不动产物权的权利人、买受人、第三人的利益和整个社会市场交易秩序的安全与稳定。对不动产物权变动中各方利益主体的不同保障实则体现着法律对于不同利益主体之间利益调节与衡平,此过程涉及到利益主体之间的区别保障的价值取向,各国物权法中对不动产物权变动制度的选择不仅是基于各自的立法偏好与价值取向,也是各国法律制定的背景不同。我国不动产物权变动制度的立法是借鉴大陆法系现有立法成果而来的,采取的是债权形式主义立法模式制度。本文以为,基于不动产物权变动关涉利益巨大、牵涉利益主体多样,甚至对于整个市场交易法律秩序亦能造成深远影响,对不动产物权变动制度的研究应当脱离理论层面的羁绊,需要借助交易安全保障理论来审视不动产物权变动制度的选择与完善。通过利用交易安全理论进行分析可以发现,我国现有的不动产物权变动制度存在一物二卖下的安全保障缺陷、登记公信力制度不完善、不动产善意取得制度不完备等问题。基于交易安全保障的价值考量,本文提出要完善不动产物权变动的登记公信力制度、强化不动产物权登记公信力、完善不动产善意取得制度,应当由立法明文确立不动产登记公信力制度,并在此基础上完善不动产善意取得制度,并在立法层面进一步确立物权行为理论,以保障交易安全。全文内容安排依次如下:第一部分为引言,通过具体案例分析指出我国不动产物权变动制度存在的问题,即不动产登记公示公信制度以及不动产善意取得制度的不足,由此损害了交易安全,并基于交易安全为视角对其进行制度完善。第二部分阐述不动产物权变动与交易安全理论的基本内容,尤其是详细分析交易安全理论法理基础,并以此为分析视角阐释不动产物权变动对于交易安全之影响的表现。第三部分具体分析我国不动产物权变动制度的立法概况和存在问题,通过对现行法律规定的具体阐释指出我国不动物权变动存在交易安全保障不足、不动产登记公示公信制度不完善、不动产善意取得制度不完备等主要问题。第四部分介绍了大陆法系不动产物权变动制度的立法概况以及对于我国的启示,通过对典型国家不动产物权变动制度的立法考察得出其对于我国不动产物权变动制度完善的启示,尤其是德国民法中物权行为制度在保障交易安全方面的巨大意义。第五部分是针对我国不动产物权变动制度存在的诸多问题所构建的完善建议和措施,结合对于安全交易理论之发挥和市场交易安全价值的选取,提出在现行法律规范前提下,保持形式主义立法制度不变,进一步完善交易安全的保障、不动产登记公示公信制度的完善、不动产善意取得制度的完备以及建立物权行为制度的立法设想,以此实现安全交易对不动产物权变动制度选择的法理耦合。第六部分为本文结语,总结交易安全保障视角下我国不动产物权变动制度的构建。
[Abstract]:Real property related to real property rights, the buyer, the security and stability of the interests of the third party and the whole society. The market order of different stakeholders protecting real estate property changes actually embodies the law for different stakeholders interest adjustment and balance, this process involves the value orientation of the difference between security interests, property law in all countries on the alteration of the real right system is not only the respective legislation preference and value orientation based on different countries is also the law of our country. The background of the alteration of real right legislation is the continental law and the existing legislation results. Take the formalism of creditor's rights legislation mode. This dissertation thinks that the real estate property change great concerned with the interests of stakeholders involved based on diversity, even for the entire market trading law Rank The order can also have a far-reaching impact on the level, should be from the fetters of theory on real right alternation systems, and improve transaction security with the need to examine the theory of alteration of real right. The choice of the system that can be analyzed by using the theory of transaction security, there is security defect of a product sold to two in China under the the alteration of the real right system, registration system is not perfect, the bona fide acquisition system is not complete. Based on the value of transaction security, this paper proposes to improve the registration system of real estate property change credibility, strengthen the real property registration credibility, perfect the bona fide acquisition of real estate shall be made by the law to establish real estate registration system, and on the basis of perfecting the bona fide acquisition of real estate, and in the legislative level to further establish the real right theory, In order to guarantee the safety of transactions. The content of this paper is arranged as follows: the first part is the introduction, through the analysis of the specific case pointed out that China's real estate property change existing system, real estate registration and real estate bona fide acquisition, thus damage the safety of trade, and based on the perspective of transaction security the perfection of the system. The second part describes the basic content of real estate property change and transaction security theory, especially the detailed analysis of the transaction security theory and on the basis of jurisprudence, analysis the perspective of real estate real right change for the security of transaction performance. The third part analyzes the legislative situation of China's real estate property the system changes and problems, through the specific interpretation of the existing legal provisions that no animal rights in China changes insufficient transaction security, real estate registration publicity. Credit system is not perfect, the bona fide acquisition of real estate is not complete and other major problems. The fourth part introduces the legislation of the civil law real estate property change system and for China, based on the typical countries of the alteration of real right system of legislation for the investigation concluded that China's real estate property change enlightenment to perfect the system, especially the property act in the German civil law system of great significance in ensuring the safety of the trade. The fifth part is to improve our real problems of property right system of the change of the recommendations and measures, combined with the selected value theory and play safe trading market transaction security, proposed in the current the legal norms under the premise of keeping formalism legislative system unchanged, further improve the transaction security, the perfect real estate registration, real property acquired in good faith system The sixth part is the conclusion of this paper, concluding the construction of the system of real right alteration in China from the perspective of transaction security.
