对赃款赃物投资收益追缴的公司法思考

【摘要】：赃款赃物投资收益与孳息一样具有派生性、延伸性和归属的确定性,应与孳息一样被依法追缴。对赃款赃物投资收益的追缴,应当准确界定由赃款赃物投资形成的、依附于公司财产的应被追缴股份和基于该股份提取、变现的股利财产。被追缴股份与赃款赃物不同,具有价值量的不确定性和对公司财产的依附性。对应追缴股份的追缴,实质上是对股份的价值追缴。在实施追缴的过程中,应理性适用拍卖规则,以实现足额追缴;合理实施价值替代机制,协调好相关拍卖规则与其他股东优先购买权的关系,以免损害公司利益。
[Abstract]:The investment income of stolen goods and fruits have the same derivation, extensibility and certainty of attribution, and should be recovered according to law as fruits. The recovery of the investment income of the stolen money and stolen goods shall be accurately defined as the shares to be recovered and the dividend property to be recovered and realized based on the assets of the company which are formed by the investment of the stolen funds and stolen goods. The recovered shares are different from the stolen goods, with uncertainty of value and dependence on company property. Corresponding to the recovery of shares, in essence is the value of the shares. In the process of implementing recovery, auction rules should be rationally applied in order to realize the full recovery, and the value substitution mechanism should be implemented rationally, and the relationship between the relevant auction rules and other shareholders' preemptive right should be coordinated so as to avoid harming the interests of the company.
