基于2013版施工合同示范文本的发包方风险分析与对策研究

【摘要】：2013版《建设工程施工合同(示范文本)》在2013年7月1日起开始正式施行,工程建设的承发包双方签订施工合同时,要求必须按照新范本给定的格式进行签订,新的施工合同格式条款给承发包双方的合同管理带来了新挑战。为了使发包人了解使用新合同范本之后,在工程建设过程中所面临的风险及掌握相应的应对策略,在仔细研读了2013版《建设工程施工合同(示范文本)》全部条款,以及学习了我国近些年发布的有关工程建设方面的法律、法规、规章等的基础上,结合作者多年的工程建设实践经验,本文采取了分析解析的方法,从签订合同及履行合同要控制的质量、进度、投资、安全等多方面入手,全面阐述了合同法律风险、工程现场管理风险、工程质量风险、工程进度风险、工程投资风险和工程安全风险等各类风险在合同中的表现形式,分析了上述风险发生的原因和可能给发包人造成的损失。并按照不同种类的风险和造成损失的严重程度,按照风险控制理论要求,有针对性的采取风险回避、风险自留、风险控制、风险转移等风险处理方法加以应对。为了使阐述理论更能切合实际,本文列举了有代表性的工程案例,生动的体现了工程建设风险的多发性、多变性,以及处理风险的必要性和灵活性。最终得出,发包人应从签订合同前期准备工作开始,直至缺陷责任期和工程保修等整个合同履行阶段,必须逐级防控、通盘考虑、精心策划,必将使发包人的风险得到有效控制,实现预期的工程建设目标。通过本文的阅读,在给发包人以工程项目建设风险警示的同时,也对发包人在签订施工合同以及在合同履行过程中,控制和处理各类风险也有一定的现实指导意义。
[Abstract]:The 2013 edition of the Construction contract (Model text) will come into effect on July 1, 2013. When both parties sign the construction contract, they are required to sign the contract according to the format given in the new model. The new construction contract format clause brings new challenges to the contract management of both parties. In order to make the contractor understand the risks in the construction process after the use of the new contract model, and grasp the corresponding countermeasures, in carefully reading the 2013 edition of "Construction contract (Model text)" all the provisions, And on the basis of the laws, regulations and rules on engineering construction issued in China in recent years, combined with the author's practical experience in engineering construction for many years, this paper adopts an analytical method. Starting with the quality, progress, investment, safety and other aspects to be controlled in signing and performing the contract, this paper comprehensively expounds the contract legal risk, the project site management risk, the project quality risk, the project schedule risk, etc. This paper analyzes the causes of the above risks and the possible losses to the contractor. And according to different kinds of risks and the severity of loss, according to the risk control theory requirements, risk avoidance, risk retention, risk control, risk transfer and other risk handling methods should be taken to deal with. In order to make the theory more practical, this paper enumerates representative engineering cases, which vividly reflects the multiplicity and variability of engineering construction risks, as well as the necessity and flexibility of dealing with risks. Finally, it is concluded that the contractor should begin with the preparatory work in the early stage of signing the contract, until the whole stage of the contract performance, such as the defect liability period and the engineering warranty, must be controlled step by step, comprehensive consideration and careful planning, The risk of the contractor will be controlled effectively and the expected construction target will be realized. Through the reading of this paper, it is of practical significance to control and deal with all kinds of risks in the process of signing the construction contract and performing the contract, while warning the project construction risk to the contractor.
