论建设工程施工合同无效后的工程价款问题

【摘要】:建设工程施工合同具有合同标的特殊性、合同内容纷繁复杂、合同履行期限较长、合同主管部门对施工合同监督严格等特点,建设工程施工合同纠纷一直是司法实践中较难处理的一类案件。近年来,,我国建筑市场呈现出混乱的状态,混乱的经营行为从未间断,混乱的市场秩序不仅严重制约了建筑市场经济的发展以及市场经济秩序的维护,建设工程的质量事故频频发生,在一定程度上致使大量无效建设工程施工合同的涌现。而各地人民法院在建设工程施工合同具体案件中关于无效的施工合同如何适用相应的法律法规方面存在着不同的处理方式,从而导致类似的施工合同案件出现不同的裁判结果。针对上述问题的出现,2004年9月22日,最高人民法院审判委员会第1327次会议通过《最高人民法院关于审理建设工程施工合同纠纷案件适用法律问题的解释》(法释[2004]14号)。法释[2004]14号司法解释第2条规定:“建设工程施工合同无效,但建设工程经竣工验收合格,承包人请求参照合同约定支付工程价款的,应予支持。”在司法实践中,依据该规定承包人无需具备相应的资质要求,只要工程质量经验收合格就可以依据合同约定取得相应的工程价款,承包人在物质上没有损失,也不会为其违法行为付出代价。这种将建设工程中的无效合同当作有效合同处理的规定,不但没有保障实际施工人的合法权益,反而会纵容承包人非法转包、分包和借用资质承包等违法行为,使建筑市场和劳务关系更加混乱。 本文基于合同效力研究的基础上,围绕法释[2004]14号司法解释第2条,就我国建设工程合同的无效后工程价款支付问题展开深入的研究和综合分析,再结合价值分析方法,加以判断和论证。本文的创新之处主要是专门对于建设工程施工领域内的合同无效问题进行分析研究,力争在建设工程施工合同的无效后工程款支付问题上,基于维护社会正义和保护交易安全的立法本意,为我国建设工程合同的无效后工程款支付问题提供更深层次地理论支撑。
[Abstract]:The construction contract of the construction project has the characteristics of the particularity of the subject matter of the contract, the complexity of the content of the contract, the long term of performance of the contract, the strict supervision of the construction contract by the competent department of the contract, etc. Construction contract dispute has always been a difficult case in judicial practice. In recent years, the construction market of our country presents the chaotic state, the chaotic management behavior never stops, the chaotic market order not only seriously restricts the development of the building market economy and the maintenance of the market economic order. The quality accidents of construction projects occur frequently, to a certain extent, resulting in the emergence of a large number of invalid construction contracts. However, there are different ways of dealing with the invalid construction contract in the specific cases of construction contract, which leads to different adjudication results in similar construction contract cases. In view of the above problems, on September 22, 2004, the 1327 meeting of the Supreme people's Court Judicial Committee adopted the interpretation of the Supreme people's Court on the legal issues applicable to the trial of construction contract disputes (legal interpretation [2004] 14). Article 2 of the judicial interpretation [2004] 14 states: "the construction contract is invalid, but if the construction project has passed the acceptance check upon completion, the contractor shall support the application for payment of the project price with reference to the contract." In judicial practice, according to this stipulation, the contractor does not need to have the corresponding qualification requirement. As long as the project quality passes the acceptance and acceptance, the contractor can obtain the corresponding project price according to the contract agreement, and the contractor has no material loss. Nor do they pay the price for their illegal behavior. Such provisions, which treat invalid contracts in construction projects as valid contracts, not only do not protect the legitimate rights and interests of actual constructors, but instead connive at illegal acts such as illegal subcontracting, subcontracting and borrowing qualifications, etc. Make the construction market and labor relations more chaotic. Based on the study of the validity of the contract, this paper focuses on Article 2 of the judicial interpretation of the legal interpretation [2004] 14, carries out a deep research and comprehensive analysis on the payment of the project price after the invalidation of the construction contract in China, and then combines the method of value analysis. To judge and prove. The innovation of this paper is mainly to analyze and study the invalidation of contracts in the field of construction and construction, and strive to pay the project money after the invalidation of construction contracts. Based on the legislative intention of maintaining social justice and protecting transaction security, this paper provides a deeper theoretical support for the payment of engineering funds after the invalidation of construction contracts in China.
