美国动产担保登记制度中的利益平衡

【摘要】：美国动产担保登记采取"通知登记"模式,以效率价值为导向而展开,公平价值表现在对所涉各方利益的平衡之上。立法者构建通知登记系统,消解了担保人债务保密性和公开性的冲突。同时,基于对担保权人顺位利益的保护,"登记在先"规则很难被挑战,体现为多个担保权竞存时,不区分先登记人主观上的善意和恶意;浮动担保权和固定担保权的效力依据登记的先后顺序而定,前者并不恒弱于后者。对于潜在的后位担保权、担保物的买受人、买卖价金担保权人等第三人来说,美国《统一商法典》第9编力求在不损害担保权人利益的前提下,通过登记的有效性规则、赋予消费者和供应商优先权优待等措施,以维护交易安全,实现权利的共赢。
[Abstract]:The American chattel security registration adopts the mode of "notice registration", which is based on the efficiency value, and the fair value is manifested in the balance of the interests of the parties involved. The legislator constructs the notice registration system, dispels the guarantor debt confidentiality and the openness conflict. At the same time, based on the protection of the interests of the security right holder, it is difficult to challenge the "registration first" rule, which shows that when multiple security rights exist, it does not distinguish the subjective goodwill and malice of the first registrant; The effectiveness of a floating security right and a fixed security right depends on the order of registration, and the former is not always weaker than the latter. For a third party, such as a potential successor security right, the buyer of the security, the buyer of a security right to purchase the sum of money, and so on, title 9 of the United States uniform Commercial Code seeks to adopt the rules of effectiveness of registration without prejudice to the interests of the security right holder, Give preferential treatment to consumers and suppliers in order to maintain transaction security and achieve win-win rights.
