中国商事登记制度改革对越南的启示

【摘要】：本文以中越商事登记制度改革为研究对象,通过比较研究方法,对中越两国在商事登记制度的产生、发展、登记内容和登记程序等方面的问题进行了研究,并建议越南借鉴中国在商事登记制度改革中的成功经验对本国的商事登记制度进行完善。之所以选择本题目,有三个方面原因。一是越南现有企业登记法律制度尚有不足之外,不能满足现实需要;二是越南商事登记的立法正在进行之中,亟需参考国外先进制度;三是笔者在中国研习经济法,对中国法律有一定了解,希望通过对中国商事登记制度改革的研究能够对越南现有的企业登记制度和商事登记立法所有裨益。本论文由四章构成,主要内容如下:第一章商事登记制度的概述。首先从法律概念的界定入手,阐述了商事登记制度在中国和越南法律语境下的内涵。第二章越南商事登记制度的现状、缺陷与原因分析。指出目前越南商事登记制度存在的问题及原因。第三章中国商事登记法律制度改革的内容、创新与经验。论述了中国商事登记制度改革的背景、具体内容、创新之处和实际效果。也对改革过程中遭遇的困难和可能产生的影响进行了初步研究。第四章越南商事登记法律制度的完善。通过比较中越经济发展的历史与现状,认为中国经济体制改革的成功对越南具有重大的示范意义,中国在商事登记制度改革方面的经验值得越南借鉴。从越南的现实情况来看,中国多项放宽商事登记制度管理、便利企业登记的规定都可以为越南吸收运用。最后是结论部分,在前文的基础,提出了借鉴中国商事登记制度改革的成功经验对越南相应制度进行调整的若干法律建议。
[Abstract]:This paper takes the reform of Sino-Vietnamese commercial registration system as the research object, through the comparative research method, has carried on the research to the Sino-Vietnamese commercial registration system in the production, the development, the registration content and the registration procedure and so on question.It is suggested that Vietnam learn from China's successful experience in the reform of commercial registration system and perfect its commercial registration system.There are three reasons for choosing this topic.First, the existing legal system of enterprise registration in Vietnam is still inadequate and cannot meet the actual needs; second, the legislation of Vietnamese commercial registration is in progress and it is urgent to refer to advanced foreign systems; third, the author studies economic law in China.It is hoped that the research on the reform of China's commercial registration system will benefit Vietnam's existing business registration system and commercial registration legislation.This paper is composed of four chapters, the main contents are as follows: chapter one is an overview of commercial registration system.Starting with the definition of the legal concept, this paper expounds the connotation of the commercial registration system in the legal context of China and Vietnam.The second chapter analyzes the present situation, defects and causes of Vietnam's commercial registration system.This paper points out the existing problems and causes of Vietnam's commercial registration system.The third chapter is the content, innovation and experience of the reform of China's commercial registration legal system.This paper discusses the background, concrete content, innovation and practical effect of the reform of China's commercial registration system.The difficulties encountered in the reform process and the possible impact are also studied.The fourth chapter is the perfection of Vietnam's commercial registration legal system.By comparing the history and present situation of economic development between China and Vietnam, it is considered that the success of China's economic system reform is of great exemplary significance to Vietnam, and China's experience in the reform of commercial registration system is worth learning from Vietnam.From the point of view of the reality of Vietnam, many regulations of relaxing the management of commercial registration system and facilitating the registration of enterprises in China can be absorbed and applied by Vietnam.The last part is the conclusion. On the basis of the above, the author puts forward some legal suggestions on the adjustment of the corresponding system of Vietnam based on the successful experience of the reform of China's commercial registration system.
