中国技术获取型跨国并购创新绩效的影响因素研究

【摘要】：随着全球经济一体化进程的不断推进,跨国并购的浪潮愈演愈烈。中国经济多年来一直保持高速增长,本土企业的实力也不断增强,越来越多的中国企业开始通过跨国并购的方式获取欧美国家先进的技术和管理经验,以期能够取得竞争优势。在这过程中很多企业成功跨越了壁垒,获得了领先优势,但也不乏失败的案例。因此,在全球化的背景下探讨中国企业技术获取型跨国并购创新绩效的影响因素具有重要的理论和实践意义。本文在理论分析的基础上,以2003-2012年中国技术获取型跨国并购案例为样本,以专利指标衡量创新绩效,实证分析了影响我国企业技术获取型跨国并购创新绩效的因素,并针对特定案例进行了比较分析。结果表明,跨国并购双方的文化差异在一定程度上促进创新绩效,并购企业技术知识基础和并购规模对创新绩效有显著的正向作用,跨国并购的目标方绝对知识规模和相对知识规模对创新绩效有显著的负向作用,企业年龄未对跨国并购的创新绩效产生显著影响。根据研究结果,本文得出研究结论,认为企业自身的技术知识基础、并购规模以及并购对象的绝对知识规模和相对知识规模,对当下我国企业技术获取型跨国并购的创新绩效具有重要的影响作用,企业在选择并购对象时应优先考虑这些影响因素,进而获得较好的创新绩效。针对中国企业的具体情况,本文也提出了相关的政策建议。
[Abstract]:As the process of global economic integration continues to advance, the tide of cross-border mergers and acquisitions becomes more and more intense. China's economy has been growing at a high speed for many years, and the strength of local enterprises has been increasing. More and more Chinese enterprises begin to acquire advanced technology and management experience in Europe and the United States through cross-border mergers and acquisitions in order to gain a competitive advantage. In the process, many enterprises have successfully crossed barriers and gained leading advantages. Therefore, it is of great theoretical and practical significance to explore the influencing factors of the innovation performance of Chinese enterprises' technology acquisition cross-border mergers and acquisitions under the background of globalization. Taking the case of technology acquisition transnational M & A in China from 2003 to 2012 as a sample, and using patent index to measure innovation performance, this paper empirically analyzes the factors that affect the innovation performance of technology acquisition transnational M & A in China. The results show that the cultural differences between the two sides of cross-border M & A promote innovation performance to a certain extent, and the technological knowledge base and M & A scale of M & A enterprises have a significant positive effect on innovation performance. The absolute knowledge scale and the relative knowledge scale of the target party in cross-border M & A have a significant negative effect on innovation performance, and the age of the firm does not have a significant impact on the innovation performance of cross-border M A. According to the research results, this paper draws a conclusion. It is believed that the technological knowledge base of enterprises themselves, the scale of M & A, the absolute knowledge scale of M & A objects and the relative knowledge scale of M & A objects have important influence on the innovation performance of technological acquisition transnational M & A in our country. Enterprises should give priority to these factors when they choose the target of M & A, and then obtain better innovation performance. According to the specific situation of Chinese enterprises, this paper also puts forward the relevant policy recommendations.
