双汇国际海外并购史密斯菲尔德案例研究

【摘要】：中国社会经济的发展越来越迅猛,居民生活水平得到了显著的提高,国内市场对于食品需求旺盛,食品行业快速发展,因此很多企业选择开展全球化的扩张战略。然而其中不乏有企业由于各种原因导致海外并购失败,因此我国食品企业国际化现在面临的主要难题是怎么才能有效规避海外并购风险,提升海外并购绩效,实现并购后的整合。所以,研究典型企业海外并购经验与教训对我国食品行业国际化有着启示作用和重要意义。本文以我国食品行业龙头企业——猪肉加工企业双汇国际并购美国最大猪肉供应商史密斯菲尔德为研究对象。一是在企业海外并购理论的基础上,结合双汇国际收购史密斯菲尔德的背景和实施过程,深入系统地分析了双汇国际收购史密斯菲尔德的动机,详细介绍了双汇国际并购前后的财务状况,同时进行了绩效分析,探讨了并购后整合措施和效率,最后总结了此次海外并购的经验。此外,本文基于双汇国际海外并购史密斯菲尔德为今后中国企业海外并购提供了一些建议。
[Abstract]:The development of China's social economy is more and more rapid, the living standard of the residents has been improved significantly, the domestic market has a strong demand for food, and the food industry is developing rapidly, so many enterprises choose to carry out the expansion strategy of globalization. However, some enterprises have failed in overseas mergers and acquisitions due to various reasons. Therefore, the main problem facing the internationalization of Chinese food enterprises is how to effectively avoid the risks of overseas mergers and acquisitions and improve the performance of overseas mergers and acquisitions. To realize the integration after merger and acquisition. Therefore, studying the experiences and lessons of overseas M & A of typical enterprises is of great significance to the internationalization of food industry in China. This paper takes Shuanghui International merger and acquisition of Smithfield, the largest American pork supplier, as the research object. First, on the basis of the theory of overseas mergers and acquisitions of enterprises, combined with the background and implementation process of Shuanghui International's acquisition of Smithfield, the motivation of Shuanghui International's acquisition of Smithfield is analyzed in depth and systematically. This paper introduces the financial situation of Shuanghui International M & A in detail, analyzes the performance, discusses the integration measures and efficiency after M & A, and finally summarizes the experience of the overseas M & A. In addition, based on Shuanghui International overseas M & A, Smithfield provides some suggestions for overseas M & A of Chinese enterprises.
