医疗器械制造业跨国并购品牌资源整合研究

【摘要】:医疗器械制造业作为一个朝阳行业,近年来蓬勃发展。很多的医疗器械制造业企业通过跨国并购的方式拓展经营,获取战略性资源,更加科学和灵活地进行业务的全球化布局。在完成跨国并购之后,资源的整合已经成为了医疗器械制造业企业面临的重要的课题。深入研究医疗器械制造业企业跨国并购与整合的现状,从中吸取经验和教训,对指导更多的医疗器械制造业企业进行跨国并购及国际化经营,充分利用国内外资源具有重要的作用和现实意义。 研究表明,跨国并购资源的整合很大程度上决定了跨国并购的效果甚至成败。自20世纪90年代以来,关于跨国并购资源整合的研究也成为国内外并购理论研究的热点。然而,比较多的研究集中在跨国并购企业文化整合、财务资源整合及人力资源整合等,却很少有研究涉及品牌资源整合。在医疗器械制造业企业进行跨国并购实际操作时,也常常忽略品牌资源的整合,影响了跨国并购目标的实现。 本文以医疗器械制造业跨国并购为背景,分析医疗器械制造业企业跨国并购品牌资源整合的问题。在总结前人研究成果的基础上,将理论与实证相结合,分析了医疗器械制造业跨国并购品牌资源整合的动因、策略和整合方式。然后根据医疗器械制造业企业跨国并购的实际情况及独有特点,分析品牌资源整合的现状和存在的问题,并在此基础上提出一些建议。
[Abstract]:As a sunrise industry, medical device manufacturing industry has developed vigorously in recent years. Many medical device manufacturing enterprises expand their operations and obtain strategic resources through cross-border mergers and acquisitions. A more scientific and flexible global layout of business. After completing cross-border mergers and acquisitions, The integration of resources has become an important issue for medical device manufacturing enterprises. It has important role and practical significance to guide more medical device manufacturing enterprises to conduct transnational M & A and international management and make full use of domestic and foreign resources. The research shows that the integration of transnational M & A resources largely determines the effect or even success of cross-border M & A. since the 1990s, the research on the integration of cross-border M & A resources has also become a hot topic in the theoretical research of M & A at home and abroad. More researches focus on cultural integration, financial resources integration and human resource integration of transnational M & A enterprises, but few researches involve brand resource integration. Also often ignore the integration of brand resources, affecting the realization of cross-border M & A objectives. Based on the background of cross-border M & A of medical device manufacturing industry, this paper analyzes the integration of brand resources in cross-border M & A of medical device manufacturing enterprises. On the basis of summarizing the previous research results, this paper combines theory with empirical research. This paper analyzes the reasons, strategies and ways of the integration of brand resources in the cross-border M & A of the medical device manufacturing industry, and then according to the actual situation and unique characteristics of the cross-border M & A of the medical device manufacturing enterprises, This paper analyzes the current situation and existing problems of brand resource integration, and puts forward some suggestions on this basis.
