英国阿克斯石油公司跨国并购战略研究

【摘要】:跨国并购一直是二次世界大战以来跨国直接投资的主要形式之一,备受理论界和企业界的关注。石油业中的跨国并购涉及范围广、时间长、规模大,长期存在并持续扩大。从上世纪九十年代初开始,中国石油企业开始“走出去”参与国际竞争,方式包括工程外包和商务合作并尝试进入并购领域。完成WTO谈判后,国内石油企业海外业务迅速增加,跨国并购的力度和规模不断扩大。本文尝试就跨国并购的理论和发展过程进行简要论述,结合中勘国际公司并购英国阿克斯石油公司的涉及内容和可行性,从并购市场发展趋势,面临的政治、经济法律环境;并购对象的价值,包括阿克斯石油公司储量、勘探开发现状;经营形势、负债率、人力资源;以及交割方式和手续等方面进行初步探讨,发现其存在的不足以及相应原因。并根据经过座谈、调查、经验总结以及实际需要出发,对影响跨国并购的因素进行分析后,就并购战略、整合方式、组织结构优化、国际化人才保留和跨文化交流沟通等方面提出建议,使中勘国际公司的跨国并购过程得到不断优化,经营效果得到不断提高。希望通过本论文的研究,对其中的典型案例的运作过程和结论分析并提出建议,能够使中勘国际公司的并购更加顺畅成功,也能为中国企业后续类似并购案例实务操作提供有益参考和借鉴。
[Abstract]:Transnational M & A (M & A) has been one of the main forms of transnational direct investment (FDI) since World War II. Transnational M & A in oil industry involves a wide range, long time, large scale, long-term existence and continuous expansion. From the early 1990s, Chinese oil companies began to "go out" to participate in international competition, including engineering outsourcing and business cooperation and try to enter the field of mergers and acquisitions. After the completion of WTO negotiations, the overseas business of domestic oil enterprises has increased rapidly, and the strength and scale of cross-border mergers and acquisitions have been continuously expanded. This paper attempts to briefly discuss the theory and development process of cross-border M & A, combined with the contents and feasibility of M & A of China International Company, from the trend of M & A market development and the political, economic and legal environment faced by the M & A market. The value of M & A object, including the reserves, exploration and development status, the operating situation, debt ratio, human resources, delivery methods and procedures of the merger and acquisition, and find out its shortcomings and corresponding reasons. According to the discussion, investigation, experience summary and actual needs, after analyzing the factors affecting cross-border M & A, the paper optimizes the M & A strategy, integration mode and organizational structure. In order to optimize the process of transnational M & A and improve the management effect, some suggestions are put forward in the aspects of international talent retention and cross-cultural communication. It is hoped that through the study of this paper, the operation process and conclusions of typical cases will be analyzed and some suggestions will be put forward to make the M & A of China Prospecting International Company more smooth and successful. It can also provide useful reference and reference for Chinese enterprises to follow up similar M & A cases.
