HY集团财务公司资金集中管理研究

【摘要】:随着经济全球化的快速发展,大型企业集团数量越来越多、规模也越来越大。这类企业集团的主要特点是分布范围广、业务多元化、组织结构复杂等。大型企业集团的财务管理都非常重视资金管理,如何最大化地发挥资金规模优势,提高资源协同效应,已经成为影响企业集团综合实力的重要因素之一。 资金集中管理模式被认为是大型企业集团资金管理比较理想的模式。企业集团通过资金集中管理,不仅可以优化集团内资金资源配置、提高资金使用效率、降低资金管理风险,同时还可以加强集团总部对成员单位的财务监控力度,提高成员单位间的凝聚力。资金集中管理的组织形式及方式多样化,其中主要包括报账中心模式、结算中心模式、内部银行模式、财务公司模式。通过四种模式的比较分析,得出财务公司模式具有独立法人结构、专业资金管理及专业金融服务等优势,所以目前大型企业集团大多采用该模式的资金管理。财务公司不仅为企业集团提供资金及金融管理服务,同时贡献了高额的利润。我国财务公司作为国家支持发展大型企业集团的配套措施之一,围绕着“依托集团,服务集团”的理念,最大化地发挥内部结算职能、投融资职能、财务顾问职能,为企业集团提供全方位的资金管理服务,最终成为企业集团既好又快发展的助推器。但是,财务公司模式在企业集团资金集中管理过程中仍然存在着诸如票据池效用低、资金“管理”职能弱化、法人治理结构不完善等问题。 本文所研究的HY财务公司是由HY集团和集团成员单位共同出资成立的独立法人机构,通过建立资金账户、资金收支及票据池等管理体系建设,为成员单位办理交易款项的收付、经批准的保险代理、提供担保、成员单位之间的委托贷款等业务。HY集团通过财务公司的资金集中管理,资金使用效率及周转率得到大幅提高,集团整体财务费用明显下降,同时集团资金管理水平显著提升。但在资金集中管理过程中也暴露出资金信息化技术水平不高、票据池管理失效、资金预算偏差大等问题,导致资金管理职能发挥不足。本文针对HY财务公司资金集中管理所暴露的问题,,逐一进行研究分析并提出制订科学资金预算编制方法、创新金融产品服务、引进外资以完善法人治理结构等一系列建议。其实HY财务公司所暴露的问题也正是我国财务公司实施资金管理过程中的薄弱之处,所以本文希望以HY财务公司的资金集中管理为研究对象,发现并剖析其管理过程中存在的问题,针对问题提出相关意见,希望可以改善HY财务公司未来资金管理的同时,能够对国内其他财务公司的资金集中管理起到一定的借鉴意义。
[Abstract]:With the rapid development of economic globalization, the increasing number of large enterprise groups, the scale is also growing. The main characteristics of this kind of enterprise is the distribution of a wide range of business diversification, the complex organizational structure. The financial management of large enterprise groups have attached great importance to financial management, how to maximize the size of funds advantage, synergy to improve resource, have become one of the important factors affecting the comprehensive strength of the enterprise group.
The centralized fund management is considered to be a large enterprise group fund management ideal model. Through the enterprise group fund centralized management, not only can optimize the allocation of resources within the group of funds, improve capital efficiency, reduce financial risk management, also can enhance the group headquarters of financial supervision of the member units, improve the cohesion between organization members of the unit. The form and mode of centralized management of funds diversification, including reimbursement center mode, the mode of settlement center, internal bank model, financial company. Through comparative analysis of four models, the financial company with independent legal structure, professional fund management and professional financial services and other advantages, so the current most of the fund management of the large enterprise groups model. Financial companies not only provide funds and financial management service for enterprise groups, while the contribution of The high profit. One of the supporting measures as the country to support the development of large-scale enterprise group finance company in China, around the "on the basis of the group, service group" concept, to maximize their internal settlement functions, financing function, financial advisory functions, provide a full range of financial management service for enterprise groups, eventually become a booster group both fast development. However, centralized financial companies in the capital management of enterprise groups in the process there are still problems such as low utility bill pool, weakening capital "management" function, the problem of corporate governance structure is not perfect.
This paper studies the HY finance company is an independent legal entity jointly established by the HY group and the group members of the unit, through the establishment of capital account, the construction funds and bill pool management system for payment transaction proceeds for the members of the unit, the insurance agency, approved by providing guarantees, entrusted loans and other services.HY group member units the company through the financial centralized management of funds, funds use efficiency and turnover rate has been greatly improved, the group's overall financial costs decreased significantly, while the fund management group was significantly improved. But concentrated in the capital management process also exposed the technical level of informatization funds is not high, the failure of bill pool management, capital budget deviation etc. that leads to capital management functions shortage. This paper exposed centralized management of HY finance company funds, one by one analysis and put forward the system Book compilation method of scientific budget, innovation of financial products and services, the introduction of foreign capital to improve the corporate governance structure and a series of suggestions. In fact, the exposure of HY company's financial issues is the weakness of our financial companies to implement capital management process, so this paper hopes to HY financial company centralized fund management as the research object, found and analysis of the management of the existing problems in the process, put forward relevant opinions, hoping to improve the future cash management HY financial company at the same time, to focus on the other domestic financial management company funds play a certain reference value.
