中资概念股退市运作的策略研究

【摘要】：自2010年以来，在海外证券市场上市的中国企业不断遭到研究机构做空，其证券监管部门也加大了对中概股的审查力度，其中以通过借壳方式上市的企业成为受到监管审查的重灾区。这种形势下，选择主动退出证券市场的中国企业数量不断增加。而当投资者在谈到中资企业退市时都非常谨慎，甚至有的投资者认为退市的上市企业就肯定存在违规违纪行为。这使得希望通过主动退市调整企业战略的中资企业担心在谋求退市过程中遭受不公的名誉损失。如何合理看待海外上市的中概股的主动退市，上市企业又如何通过退出证券市场谋求企业的战略调整，这都需要进行深入的解读。本文首先从理论方面，说明了退市是上市企业由于未满足交易所有关财务等其他上市标准而主动或被动终止上市的情形。其中主动退市作为上市企业终止上市的一种方式，本身并不代表企业经营效果和成败。其次，上市企业选择主动退出证券市场之后，可以更加方便的配置公司资源，优化企业产业链；还能节省维持上市成本、加强集团企业治理。可以这么说，，上市企业主动退市的收益也是相当可观的。最后，有收益就有成本，这就需要进行退市决策的研究。因此，研究中资概念股退市运作的策略就是很有必要的。本文基于这样的背景下，通过研究中资企业退市策略，从退市运作的成本与收益角度进行分析，最后说明企业主动退市是理性的选择。
[Abstract]:Since 2010 , Chinese companies listed in the overseas stock market have been increasingly frustrated by research institutions , and their securities regulators have also stepped up their scrutiny of the shares in China . In this situation , the number of Chinese companies that have chosen to withdraw from the stock market has been increasing . In the first place , this paper illustrates the situation in which the listed companies actively or passively terminate the listing due to the failure to meet the other listed criteria such as financial and other listed companies of the Exchange . Based on the background , this paper analyzes the cost and return angle of the operation of the retired city by studying the strategy of returning the city to the city , and finally shows that the enterprise ' s initiative retreat is the choice of reason .
