论我国房地产信托登记制度

【摘要】:信托与银行、证券、保险并称现代金融的四大工具,它以自身极大的弹性特质创造了各种各样的财产管理模式,形成了“得人之信、受人之托、代人理财”的特点。信托制度起源于英国,有“普通法王冠上的宝石”的美誉。但是我国房地产信托事业却因房地产信托登记制度的不健全受到了极大的阻碍。因此,若想让信托制度这一“舶来品”为我国的经济建设服务,尤其是实现信托制度对我国房地产经济的造血功能,则有待于我国房地产信托登记制度的完善,为我国房地产信托登记专门立法。为了完善我国房地产信托登记制度,本文将分四个部分展开论述。第一部分,房地产信托登记的界定和功能。房地产信托登记不同于财产权变动登记,是指由房地产信托当事人申请的,经由房地产信托登记机构将房地产信托中的相关事项记载于登记簿,以供当事人、交易第三人、监督机构查阅,以确保信托财产的独立性、保护受益人的利益、维护交易安全和保障国家监察机构的监管的一项特殊的登记制度,且这种登记行为在性质上属于行政行为。第二部分,房地产信托登记的客体与内容。关于我国房地产信托登记的客体,学术界存在着较大的争议。有学者认为我国房地产信托登记的客体应为信托财产,而有学者则认为是信托法律关系。笔者认为我国房地产信托登记的客体具有双重性既包括信托财产又包括信托法律关系。我国房地产信托登记客体的双重性还决定了我国房地产信托登记的内容应包括信托财产的客观状况、信托法律关系和信托文件三个方面。第三部分,房地产信托登记的效力。首先,对房地产信托登记对抗主义和登记生效主义两种效力模式进行简单的介绍。接着,对比分析房地产信托登记生效主义与登记对抗主义在国家公权力介入程度和意思自治程度方面的差异。最后,得出我国房地产信托登记的效力应该改为登记对抗主义的结论。第四部分,房地产信托登记机构错误登记赔偿责任。因为房地产信托登记机构的错误登记行为将对信托当事人的利益产生重大影响,所以我国房地产信托登记机构理应承担赔偿责任。我国房地产信托登记机构的错误登记行为引发的赔偿责任在性质上属于国家赔偿责任。我国房地产信托登记机构承担错误登记赔偿责任的构成要件为信托登记机构存在错误登记行为、错误登记行为给他人造成了损害、错误登记行为和损害之间有因果关系以及信托登记机构存在过错。我国房地产信托登记机构错误登记赔偿责任的范围限定为给受益人造成的纯经济损失,并且赋予信托登记机构以追偿权。
[Abstract]:Trust, banking, securities and insurance are the four major tools of modern finance. They create a variety of property management models with their own great flexibility, and form the characteristics of "getting people's trust, receiving people's trust and managing money for people". The trust system originated in England and has the reputation of "the Gems in the Crown of the Common Law". However, the real estate trust in our country is greatly hindered by the imperfection of the real estate trust registration system. Therefore, if we want the trust system to serve the economic construction of our country, especially to realize the hematopoietic function of the trust system to the real estate economy of our country, we need to improve the registration system of the real estate trust in our country. Special legislation for the registration of real estate trusts in China. In order to improve the real estate trust registration system, this paper will be divided into four parts. The first part is the definition and function of real estate trust registration. The registration of real estate trust is different from the registration of change of property rights. It refers to the registration of the relevant items in the real estate trust by the real estate trust registration institution, which is applied by the real estate trust party for the purpose of providing the parties and the third party with the transaction. A special registration system that ensures the independence of the trust property, protects the interests of the beneficiaries, maintains the safety of transactions and safeguards the supervision of the State supervisory body, and is by its nature an administrative act. The second part, the object and content of real estate trust registration. On the object of real estate trust registration in China, there is a great controversy in academic circles. Some scholars think that the object of real estate trust registration in our country should be trust property, while some scholars think it is trust legal relationship. The author thinks that the object of real estate trust registration in our country has dual nature, including both trust property and trust legal relationship. The duality of the object of real estate trust registration in our country also determines that the content of real estate trust registration in our country should include three aspects: the objective condition of the trust property, the trust legal relation and the trust document. The third part, the effectiveness of real estate trust registration. First of all, the real estate trust registration antagonism and registration effectiveness of two types of effectiveness models are briefly introduced. Then, the paper contrasts and analyzes the difference between real estate trust registration effectivism and registration antagonism in the degree of state public power intervention and will autonomy. Finally, we draw the conclusion that the effectiveness of real estate trust registration should be changed to register antagonism. The fourth part, the real estate trust registration agency false registration compensation liability. Because the false registration behavior of the real estate trust registration institution will have a significant impact on the interests of the trust parties, the real estate trust registration organization in our country should bear the liability for compensation. The compensation liability caused by the false registration of real estate trust in our country belongs to the state liability in nature. The constitutive elements of China's real estate trust registration institution to bear the liability for compensation for false registration are the existence of false registration by the trust registration institution, which has caused damage to others. There is causality between wrong registration and damage and fault of trust registration institution. The scope of compensation liability for false registration of real estate trust registration institution in China is limited to the pure economic loss caused to the beneficiary and the trust registration institution is given the right of recourse.
