商品房消费信贷法律关系中的抗辩权延伸问题探究

【摘要】:商品房消费信贷是伴随着市场经济发展而逐渐兴起的一种消费方式,,商品房消费信贷中的购房合同和担保贷款合同构成关联合同,该关联关系是抗辩权得以延伸适用的前提。抗辩权延伸对于保护购房者的利益具有重要作用。 文章的第一部分是问题的提出。该部分分析了商品房消费信贷中包含的法律关系类型以及商品房消费信贷在实践中的操作过程。并通过两个典型的案例揭示了购房者作为消费信贷法律关系的一方当事人,在面对经济实力强大又有着密切合作关系的开发商和贷款银行时,购房者容易遭遇的风险。商品房消费信贷法律纠纷的处理复杂,明确购房合同和担保贷款合同的关系是纠纷处理的前提。 文章的第二部分是抗辩权延伸的适用前提、历史沿革及构成要件。这一部分笔者首先分析了商品房消费信贷中的购房合同和担保贷款合同构成关联合同,二者在法律效力上相互影响,该关联关系是抗辩权得以延伸适用的前提条件;其次,运用比较法的分析方法,笔者阐述了抗辩权延伸在世界各国的产生、发展情况;最后,通过总结抗辩权延伸在各国的适用理论,笔者归纳出抗辩权延伸的构成要件并分析了商品房消费信贷法律关系中抗辩权延伸适用的构成要件。 文章的第三部分是抗辩权延伸适用的正当性及不可预先免除性。商品房消费信贷中购房者可以基于购房合同中对开发商的抗辩权对抗贷款合同中的贷款银行,这无疑是对合同相对性原则的突破。合同相对性是民法的基本原则,该原则对于保障民事主体的意志自由具有十分重要的意义。任何对合同相对性原则的突破必须具有正当性,商品房消费信贷中的抗辩权得以延伸适用,其正当性在于保护处于弱势地位的购房者利益,使得信贷法律关系中的利益保护趋于平衡。并且,从格式条款和公平诚信原则出发,抗辩权延伸也不可以通过协议条款预先免除。 文章的第四部分是抗辩权延伸在我国司法解释中的疑难问题。我国商品房买卖司法解释有部分规定涉及到抗辩权延伸,但是由于这些规定还较为笼统,在司法实践中不可避免地存在适用上的疑难问题。笔者结合司法裁判中的案例,对这些疑难问题进行了分析,进而提出相应的解决措施。
[Abstract]:With the development of market economy, the consumption credit of commercial housing is a kind of consumption mode. The contract of purchase of house and the contract of guarantee loan form the related contract, which is the premise that the right of defense can be extended and applied. The extension of the right of defense plays an important role in protecting the interests of buyers. The first part of the article is the question. This part analyzes the types of legal relations contained in the consumption credit for commercial housing and the operation process of the consumer credit in practice. And through two typical cases, this paper reveals the risks that buyers, as one party of the legal relationship of consumer credit, are likely to encounter in the face of the strong economic strength and close cooperative relationship between developers and loan banks. The settlement of legal disputes of commercial housing consumption credit is complicated. It is the premise of dispute settlement to make clear the relationship between purchase contract and guarantee loan contract. The second part of the article is the applicable premise, historical evolution and constitutive elements of the extension of the right of defense. In this part, the author first analyzes the contract of purchase of house and the contract of guarantee loan in the consumer credit of commercial housing, which influence each other in the legal effect, which is the precondition for the extension and application of the right of defense. By using the comparative analysis method, the author expounds the emergence and development of the right of defense extension in various countries in the world, and finally, by summarizing the applicable theory of the extension of the right of defense in various countries, The author sums up the constitutive elements of the extension of the right of defense and analyzes the constitutive elements of the extension of the right of defense in the legal relationship of consumption and credit of commercial housing. The third part of the article is the legitimacy of the extension of the right of defense and can not be exempted in advance. In the consumption credit of commercial housing, the buyer can counteract the loan bank on the basis of the right of defense to the developer in the purchase contract, which is undoubtedly a breakthrough to the principle of relativity of contract. The relativity of contract is the basic principle of civil law, which is of great significance to guarantee the freedom of will of civil subject. Any breakthrough in the principle of relativity of contract must be justified, and the right of defense in the consumer credit of commercial housing can be extended and applied, and its legitimacy lies in the protection of the interests of the buyers in a weak position. Make the benefit protection in the credit legal relation tend to balance. Moreover, the extension of the right of defense can not be waived in advance by the terms of agreement from the principles of format and fairness and good faith. The fourth part of the article is the extension of the right of defense in China's judicial interpretation of the difficult problems. There are some provisions concerning the extension of the right of defense in the judicial interpretation of the sale of commercial housing in our country, but because these provisions are still relatively general, there are inevitably some difficult problems in the application of these provisions in the judicial practice. Based on the cases of judicial decision, the author analyzes these difficult problems and puts forward the corresponding solutions.
