　　为了寻求新的知识和技术能力以及区位优势,很多公司开始走出国门来进行跨国收购。尤其对于高科技企业来说,技术的更新换代非常频繁。高科技企业通过跨国并购可以快速获得先进技术、提升创新绩效和核心竞争力。因此,无论从学界还是业界,都有必要来深入探讨如何提高技术型跨国并购的创新绩效。本论文试图从三个方面来进行实证探讨,以期进一步丰富技术型跨国并购的理论文献,并为高科技企业提供一定的实践指导。第一篇实证论文着重探讨当技术型跨国并购交易完成之后,收购的股权比例和整合程度如何有助于提升并购后的创新绩效。在结合委托代理理论和资源基础理论的基础上,本文提出两个重要假设:（1）并购方收购的股权比例与其创新绩效成正相关关系;（2）并购后的整合程度在股权比例与创新绩效之间起到中介作用。通过对来自生物技术、计算机、通信和电子行业的546家公司的跨国并购事件的分析,本文发现:并购方收购的股权比例越高,随后的整合程度越高,相应地并购方未来的创新绩效也越好。第二篇实证研究主要探讨制度距离在技术型跨国并购中的作用。任何跨国并购都会涉及到两个或两个以上的国家的参与。每个国家都有自己独特的制度环境。本文认为,虽然并购方收购的股...
