德国母胶工业有限责任公司的股东僵局问题研究

  许多公司都有多个股东组成,无论是由工程师和商人共同创建的公司,还是由几个公司组成的国际合资企业,这种多股东的情况有可能会导致公司在将来陷入瘫痪。问题的关键在于公司具有表决权股份的分配,如果股权结构相同,即两个股东分别持有50%的股份,股东大会上的任何决策都需要投票通过。若股东间发生争议,就会形成僵局。因此,公司就会失去进行大规模投资和战略调整的能力。德国母胶工业公司成立于1994年,由六个人创立,且公司章程至今未修改。公司的股权结构发生了巨大变化,目前一个私人和一家公司各持有50%的股份。但是过时的股东协议不足以处理股东纠纷,如果在需要投票的决策上出现分歧,股东的僵局将不可避免。本论文将对德国母胶工业公司进行分析,着重解决和缓和同等股权结构的股东僵局问题。研究目的在于评估公司章程中的僵局解决条款,这些条款能够在维持目前所有权结构保持不变的情况下解决冲突。此外,本文还将探讨帮助公司及其股东避免僵局的机制,这种解决方案既可以通过修改股东协议中的一些现行条款实现,也可以通过定义和分配股东在相关公司的核心能力实现。研究结果表明,股东之间的冲突通常有两个组成部分,即背景经济部分和情绪化的部分。由...
