【摘要】: 本文从商家信息披露义务的概念及其具有的即时性、全面性、客观性、无偿性、关联性等五方面特征入手,追溯了信息披露义务在法国以“信息提供义务”名词进行的理论探讨直至制度成形,以及在其它国家和地区的发展;论述了商家信息披露义务的理论根据:1、诚实信用原则是信息披露义务理论的法哲学基础,2、契约公正从形式自由到实质自由的转变催生了信息披露义务理论,3、“市场失灵”的矫正及保护信息上的弱者成为信息披露义务理论产生的社会氛围;分析了如何界定商家应披露信息的内容及披露方式和标准;论正了商家违反信息披露义务的归责原则——实行推定过错责任原则,即商家只要不能证明自己已尽相当之注意,因未披露相关信息而给消费者造成损害即推定商家主观上存在过错,提出了商家不履行信息披露的责任设计——有限的民事责任和行政责任相结合;最后探讨了我国目前在商家信息披露方面存在的诸多问题:信息披露缺乏真实性、不充分、不及时、不连续、存在随意性。根据以上问题提出了相应对策:1、健全公司治理机构,完善信息披露的内在机制;2、推动相应民事诉讼机制的建立,加大监管力度;3、改进商家的信息披露方式;4、强制商家履行吹牛广告中的承诺即信息瑕疵担保义务。
[Abstract]:This paper starts with the concept of merchant's information disclosure obligation and its characteristics of immediacy, comprehensiveness, objectivity, gratuitousness, relevance, etc. This paper traces the theoretical discussion of the obligation of information disclosure in France under the term "obligation to provide information" until the formation of the system, as well as the development in other countries and regions. This paper discusses the theoretical basis of merchant's information disclosure obligation:: 1, the principle of good faith is the legal philosophy foundation of the theory of information disclosure obligation. The transformation of contract justice from form freedom to substantial freedom gives birth to the theory of information disclosure obligation. The correction of "failure" and the protection of the weak in information become the social atmosphere produced by the theory of information disclosure obligation; This paper analyzes how to define the content, manner and standard of disclosure of information, discusses the principle of imputation of fault liability, that is, the merchant can not prove that he has paid enough attention to the breach of the obligation of information disclosure. Because of the damage caused to consumers by the failure to disclose relevant information, it is presumed that there is fault in the business subjectively. The author proposes the combination of limited civil liability and administrative liability, which is the responsibility of the merchant not to perform the disclosure of information. Finally, this paper discusses many problems existing in the field of business information disclosure in our country: lack of authenticity, insufficiency, intimeliness, discontinuity and arbitrariness of information disclosure. According to the above problems, this paper puts forward the corresponding countermeasures: 1, perfect the corporate governance organization, Perfecting the internal mechanism of information disclosure, promoting the establishment of corresponding civil litigation mechanism, strengthening supervision, improving the way of information disclosure of merchants, forcing the merchants to fulfill the promise of bragging advertisements, that is, the guarantee obligation of information defects.
