　　出版专著《独立担保法律制度研究——见索即付保函的理论与实践》；主编和参编了数本法学教材，主要包括《商法学》、《证券法学》、《知识产权法》等；撰写了多篇学术论文：“论证券法第四章对上市公司收购的规定”、“反不正当竞争的损害赔偿是十赔九不足吗”、 “英国商法的定位”、“《见索即付保函统一规则》和《国际备用信用证惯例》之比较”、“公司相互持股的法律问题探讨”、 “最高额抵押若干法律问题探讨”、 “公司重组之上市公司收购法律透视”、“比较广告若干问题研究”、 “对我国公司终止的有关法律规定的反思”、“WTO框架下的知识产权审判机制”、“美国公司法上的商业判断规则和董事义务剖析”等。

　　重庆百君律师事务所兼职律师；能流利用英文进行法律答辩及撰写法律文书，精通国际贸易、海事运输、信用证纠纷、国际担保、跨国大型工程承揽及招投标、海外融资、国际商事仲裁等专项业务, 擅长公司、证券、金融、保险、涉外商事案件的诉讼和非诉讼业务。

　　PERSONAL INFORMATION：

　　Li Yan, Female, born in 1976, got Doctor’s Degree of Law (Major in Commercial Law), is the Vice-professor of Southwest University of Political Science and Law, P R. China. She once was the Visiting Scholar of the Faculty of Law, the University of Southampton, UK and now she is the Vice-Director of Commercial Law Research Institute, Southwest University of Political Science and Law. Also she is the part-time Lawyer of BaiJun Law Firm which is one of the top five law firms in Chong Qing city.
