共享经济下公司法的适应性改进:基于Uber案的组织学思考

【摘要】:共享经济的到来催生了企业组织一系列的变化。以Uber为例,关于其司机到底属于雇员还是独立承包商的思考不应该仅止步于雇佣关系,其也唤起了针对组织与组织法变革的重新讨论。从企业理论和组织学的视角来理解公司边界、公司契约与科层制组织结构的变化有助于我们探明作为组织法的公司法所面临的外部压力和改进诉求。共享经济以其特有的方式削减了交易成本阻隔在市场中的壁垒,这对企业签约向市场签约的转变起到了推波助澜的作用,但是与此同时,企业组织的内部规范也在逐步适应国家法体系的约束,Uber所提出的调解协议就是一种例证。组织的变化与组织法变化的耦合,要求在商业实践与组织发展的张力中重塑公司法,从而提升公司法整体的适应性。
[Abstract]:The arrival of sharing economy gave birth to a series of changes in enterprise organization.In the case of Uber, thinking about whether its driver is an employee or an independent contractor should not end with employment relations, but also evokes renewed debate over organizational and organic changes.From the angle of firm theory and organization, we can understand the company boundary, and the change of corporate contract and hierarchical organization structure will help us to find out the external pressure and the demand for improvement of corporate law as an organic law.The sharing economy, in its own way, cuts down on the barriers that trade costs hold back from the market, which contributes to the transition of companies to contracts, but at the same time,The internal norms of business organizations are gradually adapting to the constraints of the international legal system. Uber's mediation agreement is an example.The coupling of the change of organization and the change of organization law requires the reconstruction of company law in the tension between business practice and organizational development, so as to enhance the adaptability of the company law as a whole.
