【摘要】：股东大会是公司治理的一个重要环节，也关系到股东民主的落实以及股东权的充分行使。随着因特网的发展和电子商务的日益发达，股东可以通过网络参加股东大会，这样能增加股东通过网络参与公司治理的机会。2000年美国特拉华州对其普通公司法进行修正，允许公司举行在线虚拟股东大会。股东通过账号密码进入高度安全的虚拟股东大会平台，他们可以观看会议议程、报告、建议以及其他讨论文件。虚拟股东大会可以使股东之间以及股东与董事会之间高效快速的交流，并且成本低廉。迄今为止，我国尚未有虚拟股东大会立法与实践。本文在理论分析的基础上，充分借鉴了美国特拉华州的法律规范和实践，探讨了建立我国虚拟股东大会制度的必要性和可行性，并提出了构建虚拟股东大会的蓝图，指出虚拟股东大会的发展方向。全文分为绪论、正文和结束语，其中正文由五部分组成。第一部分，以虚拟股东大会的基础理论入手，主要介绍了虚拟股东大会的概念、特征、召开方式以及理论基础。这些基础概念和理论的论述为下文的分析讨论奠定基础。第二部分，对虚拟股东大会进行利弊分析，，分别介绍虚拟股东大会的优势和缺陷。第三部分，介绍了美国特拉华州虚拟股东大会制度的立法现状以及实践经验，为我国虚拟股东大会的构建提供借鉴。第四部分，结合我国股东大会制度的现状以及存在的问题，分析了采用虚拟股东大会的必要性和可行性。第五部分，在上文理论分析和国外经验的借鉴下，对我国虚拟股东大会制度进行构建，主要介绍了虚拟股东大会的适用范围、运行程序以及涉及的法律问题的处理。
[Abstract]:The general meeting of shareholders is an important link of corporate governance, and also relates to the implementation of shareholder democracy and the full exercise of shareholders' rights.With the development of the Internet and the development of electronic commerce, shareholders can participate in the shareholders' general meeting through the network, which can increase the opportunities for shareholders to participate in corporate governance through the network.Allows companies to hold online virtual shareholder meetings.Shareholders have access to a highly secure virtual general meeting platform through their account passwords, where they can view the agenda, reports, recommendations, and other discussion documents.Virtual shareholders' meeting enables efficient and rapid communication between shareholders and between shareholders and board of directors.Up to now, there is no legislation and practice of virtual shareholders' meeting in our country.On the basis of theoretical analysis, this paper makes full reference to the legal norms and practices of Delaware, discusses the necessity and feasibility of establishing the system of virtual shareholders' general meeting in our country, and puts forward the blueprint of constructing virtual shareholders' general meeting.The development direction of virtual shareholders' general meeting is pointed out.The full text is divided into the introduction, the text and the conclusion, in which the text consists of five parts.The first part begins with the basic theory of the virtual shareholders' general meeting, mainly introduces the concept, characteristics, convening mode and theoretical basis of the virtual shareholders' general meeting.The discussion of these basic concepts and theories lays the foundation for the following analysis and discussion.In the second part, the advantages and disadvantages of virtual shareholders' general meeting are analyzed.The third part introduces the legislative status and practical experience of virtual shareholders' general meeting system in Delaware, which provides reference for the construction of virtual shareholders' general meeting in our country.The fourth part analyzes the necessity and feasibility of adopting the virtual shareholders' general meeting according to the present situation and the existing problems of the shareholders' general meeting system in our country.The fifth part, based on the theoretical analysis above and the experience of foreign countries, constructs the system of virtual shareholders' general meeting in our country, mainly introduces the scope of application, the operating procedure and the handling of the legal problems involved in the virtual shareholders' general meeting.
