我国建立企业法人治理结构的主要障碍及法律思考

【摘要】：公司制是现代企业制度的一种有效组织形式 ,公司法人治理结构是公司制的核心。依照《公司法》明确股东会、董事会、监事会和经理层的职责 ,并规范化运作 ,是股份制企业发展的根本所在。根据中国国情 ,分析研究影响中国股份制企业法人治理结构建立的主要障碍 ,使权力机构、决策机构、监督机构和执行机构相互独立、权责明确、相互制约 ,形成企业有效的权力制衡机制 ,从而产生有效的动力机制 ,保证中国股份制企业健康稳步发展。这是法学界和管理界要研究的重要课题
[Abstract]:Corporate system is an effective organization form of modern enterprise system, corporate governance structure is the core of corporate system. According to the Company Law, the responsibilities of shareholders' meeting, board of directors, board of supervisors and manager are defined and standardized, which is the fundamental for the development of joint-stock enterprises. According to China's national conditions, this paper analyzes and studies the main obstacles that affect the establishment of the corporate governance structure of Chinese joint-stock enterprises, so that the power, decision-making, supervision and enforcement agencies are independent, with clear powers and responsibilities, and mutual constraints. Forming the effective power balance mechanism of the enterprise, thus producing the effective motive mechanism, ensuring the healthy and steady development of the Chinese joint-stock enterprises. This is an important subject to be studied in the field of law and management.
