论公司人格否认制度在处理劳动纠纷中的适用

【摘要】:我国在2006年实施的《公司法》第20条中规定了公司人格否认制度,这是我国《公司法》所做的一次大胆尝试,也是公司法人人格制度的一大进步。在21世纪的中国,商品经济高速发展,公司作为市场经济的主体发挥着重要的作用,多数公司都能够遵循诚实信用原则,善良风俗原则和禁止权利滥用原则。但是,我国在实施公司制度的实践中也存在一些突出的问题。一些公司利用公司法人人格独立和股东有限责任制度逃避合同义务、法律义务等,这些行为严重地损害了债权人的利益。公司人格否认制度在我国主要运用于民商法领域。虽然近些年对于将公司人格否认制度移植到其他法中的呼声越来越高,如税法、环境法、产品责任法等,但是很少有学者讨论公司人格否认制度在劳动纠纷中的适用。然而当今社会中股东利用公司的面纱来逃避对劳动者的法律责任的现象很普遍。因此本文针对这种现象,尝试将公司人格否认制度移植到劳动纠纷的解决中,重点讨论在劳动纠纷案件中,股东或用人单位滥用公司法人人格,逃避法律责任,严重损害劳动者合法权益的现象以及将两种制度如何衔接在一起。公司人格否认制度作为法人人格制度的补充和完善,具有其自身的独立性,但是需要注意不论在何种范围内运用该制度,都要明确的一点是,法人格否认制度只是一种例外制度,并不能随意滥用,以免动摇公司有限责任。因此适用这一制度首先必须要满足其适用要件,并且在现行的《劳动法》中的具体制度无法救济劳动者的情形下才能适用。希望本文能为劳动纠纷的解决提供一点帮助,也希望本文为公司人格否认制度在其他法领域的适用提供借鉴。
[Abstract]:The disavowal system of corporate personality has been stipulated in Article 20 of the Company Law implemented in 2006 in China, which is a bold attempt made by the Company Law of our country and a great progress of the system of corporate personality. With the rapid development of commodity economy, companies play an important role as the main body of market economy. Most companies are able to follow the principles of good faith, kind-hearted customs and prohibition of abuse of rights. There are also some outstanding problems in the practice of implementing the corporate system in China. Some companies use the corporate personality independence and the shareholders limited liability system to evade the contractual obligations, legal obligations, and so on. These acts have seriously damaged the interests of creditors. Corporate personality denial system is mainly used in the field of civil and commercial law in China. Although in recent years, there are more and more calls to transplant corporate personality denial system into other laws, such as the tax law. Environmental law, product liability law, etc., But few scholars discuss the application of corporate personality denial system in labor disputes. However, the phenomenon of shareholders using the corporate veil to evade their legal liability to workers is very common in today's society. Therefore, this paper aims at this phenomenon. This paper attempts to transplant the system of corporate personality denial to the settlement of labor disputes, with emphasis on the abuse of corporate personality by shareholders or employers in cases of labor disputes, in order to evade legal liability. The phenomenon of seriously harming the legitimate rights and interests of workers and how to link the two systems together. As a supplement and perfection of the legal personality system, the corporate personality denial system has its own independence. However, it should be noted that whatever the scope of the application of the system, it should be clear that the system of legal personality denial is only an exceptional system and can not be abused at will. Do not shake the limited liability of the company. Therefore, the application of this system must first meet its applicable requirements, And in the current "Labor Law" in the specific system can not help workers can be applied. I hope this article can provide a little help for the resolution of labor disputes, I also hope that this article can be used as a reference for the application of the corporate personality denial system in other areas of law.
