国美电器控制权之争案例分析

【摘要】:国美电器,中国最大的家电零售连锁企业,因一场控制权之争而倍受关注。争斗主要围绕创始人兼大股东黄光裕与职业经理人陈晓而展开,并牵连出股东大会与董事会权力分配、大股东在公司的地位、外来资本介入、创始人保护、职业经理人角色及信托责任等争论。改革开放以来,我国民营企业得到了飞速的发展,民营企业在发展壮大的过程中会走向吸引资本入股、扩大股权结构这条道路。随着股权结构的不断丰富,现代企业制度也会逐渐健全。职业经理人、外来资本都将被引入,企业经历着改革转型,创始人面对着控制权减弱的过程。企业发展过程中,,同时与创始人的利益也产生冲突。民营企业的创始人、大股东和职业经理人往往在控制权这个层面上发生纠纷。最近,被称为中国商业史上极具典型案例的国美控制权之争,其间由国美电器创始人黄光裕和职业经理人陈晓之间的“黄陈”之争,非常值得分析和反思。本文采取个案分析的方法,研究的案例是国美电器(股票代码:0493,股票名称:GOME)。采用案例介绍——案例问题分析——案例启示分析的结构对国美电器控制权之争进行了研究,归纳得出结论。通过对国美电器控制权之争这一案例,分析以国美电器为代表的民营公司在公司治理过程中出现的问题,从而提出相应的改善措施,对我国众多民营企业的公司治理提供有效的帮助与思考。在现实生活中,关于上市民营企业的控制权争夺的案例越来越多,这些控制权之争的背后,都有相似之处,本文通过对控制权之争的方式进行分析,结合国美电器的实例,对控制权斗争反应的问题进行梳理,为我国民营企业公司治理提供有利的补充和借鉴意义。国美控制权之争反映了中国民营企业转型过程中普遍存在的风险,民营企业的发展离不开所有权与经营权的分离,离不开吸收外来资本,离不开创始股东分散股权等问题。民营企业应对这些转型风险,有赖于完善其公司治理结构,发现所有权与经营权分离存在的问题,真正改善并实现所有权与经营权相互分离、相互制约;有赖于鉴别外来资本投资目的,选取与企业长远目标一致的外来资本;有赖于创始股东适当保护自身的权益。国美控制权之争引发的一系列问题,让更多的民营企业开始重视转型风险,国美控制权之争像是一面刚被擦过的镜子,让镜前的民营企业家们猝然看清了自己及周围的环境。可以说,国美之争本身对于广大民营企业,特别是站在上市前后的民营企业,思考如何设计自己的企业治理结构,都是重要的一课。
[Abstract]:Gome, the largest retail chain in China, has attracted much attention because of a dispute over the right to control. The struggle is mainly about the founder and major shareholder Wong Kwong Yu and the professional manager Chen Xiao, and implicated in the distribution of the power of the shareholders' meeting and the board of directors, the position of the large shareholders in the company, the intervention of foreign capital, the protection of the founder and the professional manager. Since the reform and opening up, the private enterprises in China have been developing rapidly. In the process of the development and expansion of the private enterprises, the private enterprises will move towards attracting capital and expanding the ownership structure. With the continuous enrichment of the ownership structure, the modern enterprise system will gradually improve. The professional managers and foreign capital will all be developed. The enterprise experienced the reform transformation, the founder faced the process of weakening control. In the process of enterprise development, it also conflicts with the interests of the founder. The founders of the private enterprises, large shareholders and professional managers often have disputes on the level of control. Most recently, it is called a typical case in the history of Chinese business. The dispute between Gome's control power, between Wong Kwong Yu and Chen Xiao, the founder of Gome, and the "Huang Chen" between the professional manager, Chen Xiao, is very worthy of analysis and reflection. This article adopts the case analysis method, the case study is GOME Electrical Appliance (Stock Code: 0493, Stock Name: GOME). Case introduction - Case Analysis - Case The structure of the example revelation analysis has carried on the research to the contention of the control right of Gome electric appliance, and concludes the conclusion. Through the case of the contention of the control right of Gome electric appliance, this paper analyzes the problems that the private companies of Gome are represented in the process of corporate governance, and then puts forward the corresponding measures to improve the corporate governance of many private enterprises in our country. In real life, in real life, there are more and more cases of control rights for listed private enterprises, and there are similarities behind the contention of these control rights. Through the analysis of the way of the contention of control right, this article combing the examples of Gome electric appliances, combing the problems of the control right struggle reaction, for our country The corporate governance of private enterprises provides a favorable supplement and reference significance. The contention of the control right of Gome reflects the common risks in the process of the transformation of private enterprises in China. The development of private enterprises can not be separated from the separation of ownership and management right, without the absorption of foreign capital and the decentralization of the shareholders. Some transformation risks depend on the improvement of the corporate governance structure, the separation of ownership and management rights, and the real improvement and Realization of the separation and restriction of ownership and management rights, which depends on the identification of foreign capital investment purposes and the selection of foreign capital that is consistent with the long-term objectives of the enterprise; it depends on the proper protection of the original shareholders. A series of problems caused by the dispute over the control power of Gome let more and more private enterprises begin to pay attention to the risk of transformation. The contention of the control right of Gome is like a mirror that has just been erased, so that the private entrepreneurs in front of the mirror suddenly see themselves and the surrounding environment. Before and after the listing of private enterprises, thinking about how to design their own corporate governance structure is an important lesson.
